This document outlines the scope of professional services, the associated fees, the duration of engagement, and all applicable terms and conditions governing the proposed work.

The proposed Chemical Engineer will be a fully qualified professional holding a Bachelor's degree in Chemical Engineering from an accredited institution, with a minimum of twelve (12) years of progressive experience in petrochemical process design, plant operations, and HAZOP studies. The Chemical Engineer shall be based on-site in Saudi Arabia Jeddah for the duration of the contract and will report directly to the Project Director.

The specific duties and responsibilities include, but are not limited to:

• Conducting detailed process flow analysis and mass/energy balance calculations for the ethylene glycol production unit.
• Performing HAZOP (Hazard and Operability) studies and risk assessments in compliance with Saudi Aramco and SASO standards.
• Reviewing and updating P&ID drawings, process data sheets, and operating procedures.
• Providing technical support for the commissioning of the new heat exchanger train scheduled for Q3 2025.
• Preparing monthly technical progress reports and presenting findings to senior management in Jeddah.
• Ensuring full compliance with the Saudi Environmental, Health, and Safety (EHS) regulations as enforced by the Ministry of Environment, Water and Agriculture.
• Coordinating with local subcontractors and equipment vendors operating within the Jeddah Industrial Zone.

Payment for this Quotation Estimate shall be made in accordance with the following schedule:

• Advance Payment: 30% of the Grand Total (SAR 204,930.00) upon signing of the Service Agreement and receipt of a valid Purchase Order.
• Progress Payments: 10% per month (SAR 68,310.00) payable within fourteen (14) calendar days of submission of the monthly progress report, subject to client approval.
• Final Payment: The remaining 10% (SAR 68,310.00) shall be due within twenty-one (21) days of successful project handover and acceptance of all deliverables.
• All payments shall be made via bank transfer to the account of Al-Rashid Engineering & Consultancy Services Co. Ltd., Riyad Bank, Jeddah Branch, IBAN: SA03 8000 0000 6080 1016 7519.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Any acceptance beyond this period is subject to re-confirmation of rates.
• The Chemical Engineer assigned to this project shall be a Saudi-qualified or internationally certified professional. In the event of substitution, prior written approval from the client is required.
• All work shall be performed in strict adherence to the Saudi Building Code, SASO standards, and the regulations of the Saudi Ministry of Industry and Mineral Resources applicable to the Jeddah Industrial Zone.
• The client shall provide the Chemical Engineer with safe working conditions, access to all relevant plant areas, and all necessary documentation within Saudi Arabia Jeddah as reasonably required for the execution of the scope.
• Any additional services or scope changes not explicitly stated in this Quotation Estimate shall be subject to a separate written amendment and additional cost approval.
• Confidentiality: All proprietary data, process information, and trade secrets of the client shall be treated as strictly confidential and shall not be disclosed to any third party without written consent.
• This agreement is governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through arbitration in Jeddah in accordance with the rules of the Saudi Center for Commercial Arbitration.
• The Chemical Engineer shall maintain professional indemnity insurance with a minimum coverage of SAR 5,000,000 for the duration of the engagement.
