This Quotation Estimate is issued by Dr. Miriam Levi, a licensed Chemist registered with the Israel Ministry of Health, to provide comprehensive analytical chemistry, quality control, and chemical consulting services to Mediterranean Biotech Industries Ltd. All services will be performed in accordance with Israeli national standards (SII — Standards Institution of Israel), ISO 17025 laboratory accreditation requirements, and applicable regulations of the Israel Ministry of Health and the Israel Standards Organization. The Chemist will operate primarily from the Tel Aviv laboratory facility and will conduct on-site assessments at the client’s premises in the Tel Aviv metropolitan area as required.

- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After the expiry date, the Chemist reserves the right to revise pricing due to fluctuations in reagent costs, laboratory consumables, or changes in Israeli regulatory requirements.
- All services described in this Quotation Estimate shall be performed by a licensed Chemist or under the direct supervision of the Chemist in compliance with the Israeli Pharmacy and Chemicals Law (5712-1952) and the regulations of the Israel Ministry of Health.
- Payment terms: 40% advance payment upon acceptance of this Quotation Estimate, 40% upon completion of the primary analytical testing phase, and 20% upon final delivery of all reports and documentation. All payments shall be made in Israeli New Shekels (ILS) via bank transfer to the Chemist’s designated account in Tel Aviv.
- The Chemist shall provide all laboratory reports, chemical analysis certificates, and regulatory documentation in both Hebrew and English to satisfy the requirements of the Israel Standards Institution (SII) and any international clients of the recipient.
- Confidentiality: All chemical formulations, proprietary data, and trade secrets shared during the engagement shall be treated as strictly confidential by the Chemist and shall not be disclosed to any third party without written consent, in accordance with the Israeli Privacy Protection Law, 5741-1981.
- Liability: The Chemist’s total liability under this Quotation Estimate shall not exceed the total value of the services rendered. The Chemist shall maintain professional indemnity insurance with a minimum coverage of 500,000 ILS, as required for licensed chemists operating in Israel Tel Aviv.
- Force Majeure: Neither party shall be liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or national security directives issued by the State of Israel.
- Dispute Resolution: Any disputes arising from this Quotation Estimate shall be resolved through mediation in Tel Aviv, Israel, in accordance with the Israeli Arbitration Law, 5728-1968. The courts of Tel Aviv shall have exclusive jurisdiction.
- This Quotation Estimate does not constitute a binding contract until formally accepted in writing by both parties. Acceptance shall be confirmed by signature and stamp on the acceptance copy of this document.
- All chemical waste generated during the course of services shall be disposed of in accordance with the Israeli Waste Management Law and the regulations of the Israel Ministry of Environmental Protection. The Chemist shall provide a waste disposal certificate for each batch processed.
