1. Scope of Work — Civil Engineer ServicesThis Quotation Estimate is issued by Kansai Structural & Civil Engineering Co., Ltd. to provide a comprehensive cost breakdown for the engagement of a licensed Civil Engineer and supporting technical team for the Dotonbori River Corridor Reinforcement and Flood Mitigation Project in Japan Osaka. The Civil Engineer will be responsible for all structural design, geotechnical assessment, hydraulic modelling, and construction oversight activities in full compliance with the Japan Building Standards Act (Kenchiku Kijun Hou) and Osaka Prefecture local ordinances. The scope encompasses preliminary surveys, detailed engineering design, environmental impact coordination, and on-site supervision through to final handover.

- This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Any acceptance beyond this period will require a revised cost assessment by the Civil Engineer team, as material and labour rates in Japan Osaka are subject to market fluctuation.
- Payment shall be made in monthly instalments corresponding to the Construction Supervision line item, with the remaining lump-sum items payable upon milestone completion as agreed in the master service contract. All payments shall be made in Japanese Yen (JPY) via bank transfer to the account designated by Kansai Structural & Civil Engineering Co., Ltd.
- The Civil Engineer engaged under this Quotation Estimate holds a valid First-Class Civil Engineer (Ittoku Kogaku) licence issued by the Japan Institute of Civil Engineers and is registered with the Osaka Prefecture Board of Engineers. All sub-consultants will hold equivalent qualifications.
- All design deliverables shall comply with the Japan Building Standards Act, the Water Law (Suido Hou), and Osaka City specific construction regulations. The Civil Engineer assumes full professional liability for design accuracy and structural integrity within the scope defined herein.
- Any variation in scope exceeding ten percent (10%) of the total Quotation Estimate value must be documented in a formal change order signed by both parties before additional work commences on the Japan Osaka site.
- The project site is located in Seismic Intensity Zone 6 (Japan Osaka, Chuo-ku). All structural designs shall incorporate seismic design factors in accordance with the 2024 revised Japanese Seismic Design Code. The Civil Engineer will conduct a minimum of two seismic performance verification reviews during the design phase.
- Confidentiality: All data, drawings, and reports generated under this engagement are the exclusive property of the client. The Civil Engineer and all supporting personnel shall sign a Non-Disclosure Agreement prior to site access in Japan Osaka.
- Dispute resolution shall be governed by the laws of Japan. Any arbitration shall be conducted by the Japan Construction Arbitration Centre (JCA) in Osaka.
- This Quotation Estimate does not constitute a binding contract until a formal Service Agreement is executed by both parties. The terms herein serve solely as a cost and scope reference for the client's internal approval process.
This Quotation Estimate assumes standard working conditions at the Japan Osaka site, including reasonable access to the Dotonbori River corridor and availability of existing geotechnical data from prior Osaka City surveys. The following are excluded from this estimate: demolition of existing structures, utility relocation (water, gas, telecommunications), third-party environmental remediation, and any works necessitated by unforeseen subsurface conditions exceeding the parameters identified in the initial soil investigation. Should such conditions arise, the Civil Engineer will issue a supplemental Quotation Estimate within fourteen (14) business days of discovery.
