The following services have been scoped and priced in accordance with the client's requirements as communicated during the initial consultation held on 28 May 2025 at the Diplomat headquarters in Zimbabwe Harare:
- Diplomatic Liaison and Protocol Management: End-to-end coordination of official visits, meetings with government ministries, and engagement with the Zimbabwean Department of State and Foreign Affairs. This includes scheduling, venue arrangements, protocol compliance, and post-engagement reporting.
- Regulatory and Compliance Advisory: Guidance on all applicable Zimbabwean legislation, including the Companies and Other Business Entities Act, the Reserve Bank of Zimbabwe foreign exchange regulations, and sector-specific licensing requirements relevant to the client's operations in Zimbabwe Harare.
- Business Facilitation and Market Entry Support: Identification of local partners, due diligence on prospective collaborators, negotiation support, and preparation of joint venture or partnership agreements tailored to the Zimbabwean legal environment.
- Logistical and Administrative Support: Arrangement of secure transportation, accommodation, security detail coordination, and translation/interpretation services (English, Shona, and Ndebele) for all personnel operating within Zimbabwe Harare during the engagement period.

This Quotation Estimate is based on the following assumptions: (a) the engagement will be conducted primarily from the Diplomat office in Zimbabwe Harare with no more than two (2) off-site visits per week; (b) the client will provide all necessary corporate documentation, power of attorney, and authorisation letters prior to the commencement date; (c) no additional government levies, permit fees, or third-party charges beyond those itemised above will be incurred. Any services, materials, or circumstances falling outside the scope defined in Section 2 will be subject to a supplementary Quotation Estimate issued by Diplomat prior to execution.
Payment for the services outlined in this Quotation Estimate shall be made in United States Dollars (USD) via bank transfer to the Diplomat corporate account at the Commercial Bank of Zimbabwe, Harare branch. The payment schedule is as follows:
- 50% Advance Payment: Due within seven (7) business days of acceptance of this Quotation Estimate, prior to mobilisation.
- 30% Milestone Payment: Due upon completion of Week 3 of the engagement, subject to client sign-off on interim deliverables.
- 20% Final Payment: Due within fourteen (14) days of delivery of the final engagement report and all supporting documentation.
Late payments shall attract a penalty interest of 2% per month, calculated on the outstanding balance, in accordance with standard commercial practice in Zimbabwe Harare.
This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue (14 June 2025). Should the client wish to proceed beyond this validity window, Diplomat reserves the right to re-evaluate all pricing components and issue a revised Quotation Estimate reflecting any changes in operational costs, exchange rate fluctuations, or resource availability in Zimbabwe Harare. Acceptance of this Quotation Estimate shall be confirmed in writing by the authorised signatory of the client organisation, and a formal Service Agreement will be executed by both parties prior to the commencement of any work.
- All services rendered by Diplomat in Zimbabwe Harare shall be performed with the highest degree of professional diligence, confidentiality, and adherence to applicable Zimbabwean law and international diplomatic conventions.
- Diplomat shall maintain full professional indemnity and public liability insurance coverage throughout the duration of the engagement. Certificates of insurance shall be made available to the client upon request.
- The client agrees to provide timely access to all relevant information, personnel, and facilities necessary for Diplomat to fulfil its obligations under this Quotation Estimate.
- Neither party shall be liable for delays or failures in performance caused by force majeure events, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or pandemics affecting operations in Zimbabwe Harare.
- All intellectual property, reports, and documentation produced by Diplomat specifically for the client under this engagement shall become the property of the client upon full and final payment.
- Any disputes arising from this Quotation Estimate or the subsequent Service Agreement shall be resolved through mediation in Zimbabwe Harare, failing which they shall be referred to arbitration under the rules of the Zimbabwe Arbitration Centre.
- This Quotation Estimate does not create a partnership, joint venture, or agency relationship between Diplomat and the client.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and pricing details set forth in this Quotation Estimate. This document, once countersigned, shall serve as the foundational reference for the subsequent Service Agreement between Diplomat and the client for the delivery of services in Zimbabwe Harare.
