The Economist engaged under this Quotation Estimate will hold a minimum of a Master's degree in Economics from a recognized Brazilian or international institution, possess at least ten (10) years of professional experience in macroeconomic and microeconomic analysis, and demonstrate proven expertise in the Brazilian fiscal framework, including but not limited to the ICMS (Imposto sobre Circulação de Mercadorias e Serviços) tax regime applicable in the state of São Paulo, the municipal ISS (Imposto Sobre Serviços) structure, and the broader federal tax obligations governed by the Receita Federal do Brasil.

* All prices are quoted in Brazilian Reais (BRL) and are inclusive of applicable ICMS (18%) as per the tax regulations of the state of São Paulo. No additional municipal ISS will be charged as the service is classified under the federal exemption for professional consulting. The USD conversion is provided for reference only and is based on the Central Bank of Brazil (Banco Central do Brasil) reference rate on the date of this Quotation Estimate.

1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, pricing may be subject to revision based on prevailing economic conditions in Brazil São Paulo, including inflation adjustments as measured by the IPCA (Índice de Preços ao Consumidor Amplo) published by IBGE.
2. The Economist assigned to this engagement shall be a full-time professional of Meridian Economic Consulting S.A. and shall not be subcontracted without prior written consent from the Client.
3. Payment terms: 50% of the monthly retainer (Item 3.1) shall be due on the 5th business day of each month via TED transfer to the account specified in the service contract. All other line items shall be invoiced upon delivery of the respective deliverable, with payment due within fifteen (15) business days.
4. All deliverables produced by the Economist shall remain the exclusive intellectual property of the Client upon full payment, subject to a non-disclosure agreement (NDA) executed concurrently with the service contract.
5. This Quotation Estimate does not constitute a binding contract. A formal Service Agreement, governed by the Civil Code of the Federative Republic of Brazil (Lei 10.406/2002) and applicable commercial regulations of the state of São Paulo, must be executed by both parties before any services commence.
6. Either party may terminate the engagement with a thirty (30) day written notice. In the event of early termination, the Client shall be liable for all services rendered up to the termination date plus a 10% administrative fee on the remaining contract value.
7. All data, projections, and analyses provided by the Economist are based on publicly available information and standard economic modeling. They do not constitute investment advice, and the Client assumes full responsibility for decisions made in reliance upon such analyses.
8. Disputes arising from this Quotation Estimate or the subsequent Service Agreement shall be resolved by arbitration in São Paulo, SP, in accordance with the rules of the Câmara de Mediação e Arbitragem da FIESP, under the Portuguese language.
