This Quotation Estimate is issued by Shanghai Media Solutions Co., Ltd. to provide a comprehensive, itemized cost breakdown for the procurement, deployment, and ongoing operation of a professional Editor solution within the operational premises of our client in China Shanghai. The Editor referenced herein encompasses both the licensed software platform and the associated human editorial expertise required to support the client's multimedia content pipeline. All pricing, deliverables, and service-level commitments outlined in this Quotation Estimate are specific to the China Shanghai market, local regulatory environment, and the client's stated operational requirements.
The Editor engagement covers the following deliverables and services, all to be executed at or in direct support of the client's facility located in Pudong New Area, China Shanghai:
- Editor Software Licensing: Provision of a perpetual license for the ProEdit Studio 9.0 Editor platform (video, audio, and text modules), configured for the China Shanghai locale with Simplified Chinese and English dual-language interface support.
- Editor Hardware Provisioning: Supply and installation of two (2) dedicated Editor workstations (Intel Xeon W-3400 series, 128 GB RAM, dual NVIDIA RTX 6000 GPUs, 4 TB NVMe storage) pre-configured for the Editor software stack.
- Editor Training Programme: A five-day on-site training curriculum delivered by certified Editor specialists at the client's China Shanghai office, covering advanced editing workflows, colour grading, subtitle localisation for the Chinese market, and export compliance with NRTA broadcasting standards.

Payment for the Editor services and deliverables outlined in this Quotation Estimate shall be made in Chinese Yuan (CNY) via bank transfer to the account of Shanghai Media Solutions Co., Ltd. at Bank of China, Pudong Branch, China Shanghai. The payment schedule is as follows:
- 40% advance payment (CNY 248,102.80) due within ten (10) business days of acceptance of this Quotation Estimate.
- 40% milestone payment (CNY 248,102.80) due upon completion of Editor hardware installation and software deployment at the China Shanghai site.
- 20% final payment (CNY 124,051.40) due within fifteen (15) business days following successful completion of the Editor training programme and sign-off of the compliance audit baseline.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all prices for the Editor solution and associated services are subject to revision based on prevailing market conditions in China Shanghai.
- All Editor software licenses are non-transferable and are registered to the client's legal entity registered in China Shanghai. Any change of ownership requires written consent from Shanghai Media Solutions Co., Ltd.
- The Editor hardware warranty is limited to twenty-four (24) months from the date of installation at the China Shanghai premises. Consumable parts (fans, power supplies) are excluded from the warranty period.
- Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or changes in China Shanghai municipal regulations, shall relieve both parties from performance obligations for the duration of the event.
- All Editor services, training materials, and compliance documentation are the intellectual property of Shanghai Media Solutions Co., Ltd. and may not be reproduced or distributed without prior written permission.
- Disputes arising from this Quotation Estimate shall be resolved through arbitration under the Shanghai Arbitration Commission (SHIAC) in accordance with its rules in force at the time of filing.
- This Quotation Estimate constitutes the entire agreement between the parties regarding the Editor engagement in China Shanghai and supersedes all prior negotiations, representations, or agreements.
By signing below, the client acknowledges receipt of this Quotation Estimate for the Editor services in China Shanghai and agrees to the terms, conditions, and pricing set forth herein. This acceptance does not constitute a binding purchase order until the advance payment specified in Section 4 has been received in full.
