This Quotation Estimate is formally issued by TerraVerde Engenharia Ambiental Ltda. to Construtora Horizonte S.A. in order to provide a comprehensive and itemized financial proposal for the engagement of a certified Environmental Engineer to deliver specialized environmental consulting, compliance, and impact assessment services. All services described herein will be executed within the Federal District of Brazil, Brasília, and its immediate metropolitan region, in full accordance with the regulatory framework established by the Brazilian Institute of Environment and Renewable Natural Resources (IBAMA), the Federal District Environmental Agency (IPE-DF), and the applicable municipal ordinances of Brasília.
The Environmental Engineer contracted under this Quotation Estimate will perform the following duties and deliverables, all scoped specifically for the project site located in the Asa Sul district of Brasília, Brazil:
- Environmental Impact Assessment (EIA/RIMA): Preparation of a complete Environmental Impact Study and its respective Environmental Impact Report (RIMA) in compliance with IBAMA Resolution No. 01/86 and Federal Decree No. 99.274/90, tailored to the urban development context of Brasília.
- Environmental Licensing Support: Coordination and technical support for the issuance of the Licensing License (Licença Prévia), Installation License (Licença de Instalação), and Operation License (Licença de Operação) through the IPE-DF licensing process specific to the Federal District of Brasília.

The total value of this Quotation Estimate shall be paid according to the following milestone-based schedule, with all transfers made via bank wire to the account of TerraVerde Engenharia Ambiental Ltda. in Brasília, DF:
- 30% (R$ 167,139.00) – Due upon formal acceptance of this Quotation Estimate and contract signing.
- 25% (R$ 139,282.50) – Due upon delivery and approval of the EIA/RIMA document.
- 25% (R$ 139,282.50) – Due upon issuance of the Operation License by IPE-DF.
- 20% (R$ 111,426.00) – Due upon completion of the 12-month service period and final compliance report.
5.1 This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all prices and terms are subject to revision due to market fluctuations, regulatory changes in Brazil, or adjustments in the Brasília municipal tax structure.
5.2 The Environmental Engineer assigned to this project holds a valid registration with the Federal Council of Engineering and Agronomy (CREA-DF) and a degree in Environmental Engineering from a recognized Brazilian higher education institution. All professional services are governed by the Brazilian Civil Code and the specific provisions of Law No. 6.938/1981 (National Environmental Policy).
5.3 All deliverables produced under this Quotation Estimate shall be the exclusive intellectual property of the client upon full payment. The Environmental Engineer and TerraVerde Engenharia Ambiental Ltda. retain the right to reference the project in professional portfolios with prior written consent.
5.4 Any scope modification, additional service request, or change in project location within or outside Brasília, Brazil, must be documented through a formal amendment to this Quotation Estimate, signed by both parties, before execution.
5.5 In the event of non-payment beyond fifteen (15) days of the due date, a late penalty of 1% per month plus SELIC interest shall apply, in accordance with Brazilian commercial law.
5.6 Disputes arising from this Quotation Estimate shall be resolved through the competent courts of Brasília, Federal District, Brazil, or by arbitration at the Chamber of Commercial Arbitration of Brasília, at the option of the aggrieved party.
