This Quotation Estimate is issued by CineArte Productions Ltda. to formally present the professional fees and associated costs for the engagement of a Film Director for the feature film project "Caminhos do Sertão." The Film Director will be responsible for the complete creative and artistic leadership of the production, operating primarily within the metropolitan area of Brazil São Paulo and its surrounding regions. The scope of the Film Director's duties includes, but is not limited to, the following:
- Pre-Production (30 days): Script analysis, creative development, casting direction, location scouting across São Paulo and partner cities, shot-list design, storyboard approval, and coordination with the production design, cinematography, and sound departments. All pre-production meetings will be held at the CineArte studio in Bela Vista, São Paulo.
- Principal Photography (45 working days): Full on-set direction of all principal and supporting actors, real-time creative decision-making, camera angle and movement approval, performance coaching, and daily review of dailies. The Film Director will be present on set for a minimum of 12 hours per shooting day.
- Post-Production (20 days): Editorial supervision, assembly cut review, fine cut approval, color grading sessions, sound design oversight, and final mix supervision. The Film Director will attend a minimum of six editorial sessions at the post-production facility in Moema, São Paulo.
- Delivery & Festival Circuit: Final delivery of the completed film in DCP and ProRes 4K formats, attendance at the São Paulo International Film Festival (Mostra Internacional de Cinema de São Paulo), and up to two additional festival premieres within Brazil.

All payments shall be made in Brazilian Reais (BRL) via bank transfer (TED/PIX) to the account of CineArte Productions Ltda. at Banco do Brasil, Ag. 1578-0, Conta 45.231-7, São Paulo – SP. The payment milestones for this Quotation Estimate are structured as follows:
- 30% advance (R$ 589,676.25) – Due within 10 business days of signed acceptance of this Quotation Estimate, prior to the commencement of pre-production.
- 40% progress payment (R$ 786,235.00) – Due on the 20th working day of principal photography, to be confirmed by a written progress report from the Film Director.
- 20% post-production payment (R$ 393,117.50) – Due upon delivery of the fine cut and completion of the editorial supervision phase.
- 10% final balance (R$ 196,558.75) – Due within 15 business days of final film delivery and completion of all festival obligations.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After the expiration date, all rates and availability of the Film Director must be reconfirmed in writing.
- The Film Director retains full creative authority over artistic decisions during the production. However, final budgetary decisions remain with the producer (Horizonte Filmes S.A.).
- Any change in the shooting schedule exceeding five (5) working days will trigger a revised Quotation Estimate, subject to mutual agreement. Additional days will be billed at the daily rate specified in Section 2.
- The Film Director is engaged as an independent contractor under Brazilian labor law (CLT does not apply). All social security contributions (INSS) and income tax (IRRF) are the responsibility of CineArte Productions Ltda. as the hiring entity.
- Intellectual property: The Film Director grants the producer a non-exclusive, perpetual license to use the directorial work for distribution, exhibition, and marketing purposes. The Film Director retains the right of moral authorship as defined by Brazilian Copyright Law (Lei 9.610/1998).
- Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or public health emergencies affecting the city of São Paulo, will suspend obligations without penalty for either party.
- Disputes arising from this Quotation Estimate shall be resolved by arbitration in São Paulo, Brazil, under the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá).
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties. Upon signature, it becomes a binding service agreement governed by the Civil Code of Brazil (Lei 10.406/2002).
