This Quotation Estimate is issued by Harbour & Sterling Law LLP, a licensed law firm operating under the jurisdiction of the Law Society of Ontario, to provide Mr. Jonathan R. Whitfield with a detailed and transparent estimate of professional legal fees for the engagement of a Lawyer to represent his interests in a commercial real estate transaction situated in the City of Toronto, Canada. This document serves as a formal Quotation Estimate and does not constitute a binding retainer agreement until countersigned by both parties. All fees quoted herein are subject to the terms and conditions outlined in Section 7 of this Quotation Estimate.

The Lawyer assigned to this matter, Senior Associate Counsel Ms. Eleanor V. MacAllister (LSO No. 45219), will provide the following services in connection with the proposed acquisition of a mixed-use commercial property located at 88 Queen Street West, Toronto, Ontario, Canada:

  • Review and analysis of the Purchase and Sale Agreement, including all schedules, exhibits, and conditions precedent.
  • Conducting and coordinating title searches, zoning verification, and municipal by-law compliance checks with the City of Toronto.
  • Negotiating amendments, riders, and protective clauses within the Purchase and Sale Agreement on behalf of the client.
  • Reviewing environmental assessment reports, survey plans, and land title documentation filed with the Ontario Land Registry Office.
  • Coordinating with the client's mortgage lender, insurance broker, and property management firm regarding closing conditions.
  • Preparing and filing all necessary transfer documents, land title registrations, and municipal transfer tax declarations with the appropriate Toronto and Ontario government offices.
  • Attending the closing ceremony, executing the deed of transfer, and disbursing funds through the firm's trust account in compliance with the Ontario Trust Accounts Rules.
  • Providing post-closing legal advice for a period of thirty (30) days following the completion of the transaction.

* All fees are quoted in Canadian Dollars (CAD). The hourly rate of $325.00 reflects the standard billing rate for a Senior Associate Lawyer at this firm as of June 2025. Disbursements are estimated and will be reconciled at the conclusion of the matter.

  • A retainer deposit of 40% of the total Quotation Estimate (CAD $5,717.80) is due upon execution of the retainer agreement.
  • The remaining balance shall be payable within fourteen (14) calendar days following the closing date of the transaction.
  • All payments shall be made by certified cheque, bank draft, or electronic funds transfer (EFT) to the firm's designated trust account at the Royal Bank of Canada, Toronto branch.
  • Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the Ontario Lawyers' Act and applicable provincial regulations.

This Quotation Estimate is based on the assumption that the transaction will proceed without material complications, including but not limited to: title defects requiring litigation, significant zoning variances, environmental contamination disclosures, or disputes with the vendor. Should any such complications arise, the Lawyer will issue a supplemental Quotation Estimate prior to undertaking additional work. This estimate does not include costs associated with litigation, arbitration, or mediation proceedings, which would be quoted separately on an hourly basis.

This Quotation Estimate and any resulting retainer agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Quotation Estimate shall be subject to the exclusive jurisdiction of the courts of the City of Toronto, Ontario, Canada, and the client hereby consents to such jurisdiction. The firm is regulated by the Law Society of Ontario, and any complaints may be directed to the Law Society at 44 O'Connor Street, Toronto, Ontario, Canada.

  • This Quotation Estimate is valid for thirty (30) days from the date of issue. Upon expiry, fees may be adjusted to reflect current market rates.
  • The Lawyer reserves the right to withdraw from the engagement with fourteen (14) days' written notice, in which case fees for work performed to date shall be payable.
  • All communications, documents, and correspondence related to this matter are subject to solicitor-client privilege under Canadian law.
  • The firm maintains professional liability insurance in the amount of CAD $5,000,000 per occurrence, as required by the Law Society of Ontario.
  • This Quotation Estimate does not guarantee a specific outcome in any legal matter. The Lawyer will exercise professional judgment and due diligence in the representation of the client's interests.

By signing below, the client acknowledges receipt of this Quotation Estimate, agrees to the scope of services, fee schedule, and terms outlined herein, and authorizes the Lawyer to commence the engagement described in Section 2. This signature does not constitute a guarantee of any particular legal outcome.
