1. Purpose and Scope of This Quotation Estimate

This Quotation Estimate is issued by Guangzhou Zhongheng Law Firm (hereinafter referred to as "the Firm") in response to the client's request for a comprehensive assessment of legal services to be rendered in the city of China Guangzhou. The Firm, a duly registered and licensed Lawyer practice operating under the supervision of the Guangzhou Bar Association and the Guangdong Provincial Department of Justice, hereby provides the following itemized estimate for the professional legal counsel, representation, and advisory services described herein. This document serves as a formal Quotation Estimate and does not constitute a binding engagement contract until both parties execute the separate Legal Services Engagement Agreement.

2. Description of Legal Services

The Lawyer and the Firm's legal team will provide the following services to the client within the jurisdiction of Guangzhou, Guangdong Province, China:

3. Additional Costs and Expenses

The following additional costs, which are not included in the professional fee estimate above, will be borne by the client and are subject to actual expenditure. The Lawyer will provide itemized receipts for all out-of-pocket expenses incurred in connection with this matter in China Guangzhou:

4. Payment Terms

The Quotation Estimate fees shall be paid by the client in accordance with the following schedule:

(a) A non-refundable retainer of 30% of the total estimated professional fees (CNY 25,620) shall be paid within five (5) business days of the execution of the Engagement Agreement.

(b) A second installment of 40% (CNY 34,160) shall be due upon the filing of the complaint with the Guangzhou court.

(c) The remaining 30% (CNY 25,620) shall be payable within ten (10) business days following the conclusion of the final hearing or the issuance of the court's judgment, whichever occurs first.

All payments shall be made via bank transfer to the Firm's designated account at China Merchants Bank, Guangzhou Branch. The Lawyer will issue a formal invoice (fapiao) for each payment received in compliance with the tax regulations of the People's Republic of China.

5. Terms and Conditions of This Quotation Estimate

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, the Firm reserves the right to revise the fees due to changes in market rates, court fee schedules, or the complexity of the matter.
The estimated hours provided in this document are good-faith projections based on the Lawyer's professional experience with similar matters in China Guangzhou. Actual hours may vary. The client will be notified in writing if the estimated hours are expected to exceed the figures stated herein by more than 20%.
The Lawyer assigned to this matter shall be a qualified attorney admitted to practice in Guangdong Province, China, and shall comply with all ethical and professional conduct rules established by the All China Lawyers Association and the Guangzhou Bar Association.
All communications, documents, and legal work product generated in connection with this engagement shall be subject to attorney-client privilege under the Lawyers Law of the People's Republic of China.
This Quotation Estimate does not guarantee any specific outcome, judgment, or settlement. The Lawyer shall exercise the highest degree of professional diligence and skill in representing the client's interests before the courts and authorities in Guangzhou.
Any dispute arising from the interpretation or performance of this engagement shall be resolved through arbitration administered by the Guangzhou Arbitration Commission in accordance with its rules of arbitration. The seat of arbitration shall be Guangzhou, China.
This Quotation Estimate is governed by and shall be construed in accordance with the laws of the People's Republic of China, including but not limited to the Civil Code, the Lawyers Law, and the Civil Procedure Law.

6. Acceptance and Authorization

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure set forth herein. The Firm confirms that the undersigned Lawyer is authorized to represent the client in all matters described in this document within the jurisdiction of China Guangzhou and the broader Guangdong Province.
