This Quotation Estimate is issued by Shanghai Meridian Law Firm LLP (hereinafter referred to as the "Firm") in respect of the professional legal services to be rendered by our designated Lawyer to the above-named Client. This document constitutes a formal and binding estimate of fees, costs, and expenses associated with the engagement of our Lawyer for the scope of work described herein, to be performed within the jurisdiction of China Shanghai and in compliance with all applicable laws and regulations of the People's Republic of China.

1. Scope of Legal Services

The Lawyer assigned to this matter, Senior Partner Ms. Lin Xiaofeng (Bar Registration No. 13101201800345), shall provide the following legal services to the Client in connection with a commercial contract dispute and related regulatory compliance review:

  • Comprehensive legal analysis and review of the existing supply agreement dated 12 March 2025 between the Client and its counterparty, including identification of breach clauses, force majeure provisions, and dispute resolution mechanisms under the Civil Code of the People's Republic of China.
  • Preparation and filing of a formal demand letter and, if necessary, a statement of claim with the Shanghai No. 1 Intermediate People's Court, located in the Huangpu District of China Shanghai.
  • Representation of the Client at all pre-trial mediation sessions, court hearings, and any subsequent appellate proceedings before the Shanghai High People's Court.
  • Regulatory compliance audit of the Client's import-export licensing documentation in accordance with the Customs Law of the PRC and the Foreign Trade Law, as administered by the Shanghai Municipal Commission of Commerce.
  • Advisory services regarding the enforcement of any judgment or arbitral award, including coordination with the Shanghai Enforcement Bureau and relevant judicial authorities in China Shanghai.
  • General legal counsel and written opinions on matters arising from the above engagement, limited to a maximum of forty (40) hours of professional time.
2. Fee Structure and Cost Breakdown

The following Quotation Estimate sets out the projected fees and disbursements. All amounts are quoted in Renminbi (CNY) and are subject to the applicable Value Added Tax (VAT) at the rate of six percent (6%) as prescribed by the State Taxation Administration of China.

3. Terms and Conditions of This Quotation Estimate
  1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Upon expiry, the Firm reserves the right to revise the fee structure based on prevailing market rates and the Lawyer's updated availability.
  2. The estimated fees set forth herein are projections based on the current scope of work. Should the matter require additional legal proceedings, extended court appearances, or supplementary regulatory filings beyond the scope described in Section 1, the Lawyer shall issue a supplementary Quotation Estimate for the Client's written approval prior to incurring any additional costs.
  3. Payment terms: A retainer of thirty percent (30%) of the total estimated fee, amounting to CNY 65,476.20, shall be due within seven (7) business days of the Client's written acceptance of this Quotation Estimate. The remaining balance shall be payable in two equal installments: fifty percent (50%) upon the conclusion of the pre-trial mediation phase, and the final fifty percent (50%) within fourteen (14) days of the final judgment or settlement.
  4. All payments shall be made via bank transfer to the Firm's designated account at Bank of China, Pudong Branch, Shanghai, China. The Client shall bear any interbank transfer charges.
  5. The Lawyer shall maintain strict confidentiality in accordance with the Advocates Law of the People's Republic of China and the Firm's internal data protection policies. All client documents and correspondence shall be stored in compliance with the Cybersecurity Law of the PRC and the Personal Information Protection Law effective 1 November 2021.
  6. This engagement is governed by and shall be construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Quotation Estimate or the engagement itself shall be resolved by arbitration administered by the Shanghai International Arbitration Center (SHIAC) in China Shanghai, in accordance with its then-current arbitration rules. The seat of arbitration shall be Shanghai, and the language of arbitration shall be English.
  7. The Firm and the Lawyer shall not be liable for any indirect, consequential, or punitive damages arising from the performance or non-performance of the services described herein. The total aggregate liability of the Firm under this engagement shall not exceed the total fees actually paid by the Client.
  8. This Quotation Estimate does not constitute a guarantee of any particular legal outcome. The Lawyer shall exercise reasonable professional judgment and diligence in the performance of the assigned duties, in accordance with the standards set forth by the All China Lawyers Association and the Shanghai Bar Association.
4. Acceptance and Authorization

By signing below, the Client acknowledges receipt of this Quotation Estimate, confirms that the scope of services and fee structure have been reviewed and understood, and authorizes the Lawyer to commence the engagement on the terms set forth herein. The Client further confirms that the information provided to the Firm is accurate and complete to the best of the Client's knowledge.
