This document serves as a formal Quotation Estimate outlining the anticipated fees, deliverables, timelines, and conditions governing the engagement of our Lawyer services for the matters described herein.

The scope of work covered by this Quotation Estimate includes, but is not limited to, the following legal matters to be handled by our designated Lawyer in Kazakhstan Almaty:

• Corporate restructuring advisory for the client's subsidiary operating in the Almaty Free Economic Zone;
• Drafting, review, and negotiation of a joint venture agreement with a foreign partner under the Civil Code of the Republic of Kazakhstan;
• Regulatory compliance audit in accordance with the requirements of the Agency for Regulation and Development of Financial Markets of Kazakhstan;
• Representation before the Almaty City Court and the Supreme Court of the Republic of Kazakhstan in a pending commercial dispute (Case No. 05-4421/2025);
• Intellectual property registration and enforcement for trademarks and patents within Kazakhstan and CIS jurisdictions;
• Labour law compliance review for the client's workforce of 340 employees based in Almaty, Kazakhstan.

The following Quotation Estimate reflects the total professional fees for the Lawyer services described above. All fees are exclusive of Value Added Tax (VAT) at the prevailing rate of 12% in Kazakhstan, unless otherwise stated.

Note: The above Quotation Estimate is based on the estimated hours required for each Lawyer service. Should the actual hours deviate by more than 15% from the estimates provided, a revised Quotation Estimate will be issued prior to additional work commencing. All court filing fees, notary fees, translation costs, and third-party expert fees in Kazakhstan Almaty are excluded from this Quotation Estimate and will be billed at actual cost with prior written approval from the Client.

• 40% of the total Quotation Estimate amount shall be due upon execution of the Engagement Letter (within 5 business days).
• 30% shall be due upon completion of the Joint Venture Agreement and Regulatory Compliance Audit deliverables.
• 30% shall be due upon conclusion of court proceedings or upon delivery of the final legal opinion, whichever occurs first.
• All payments shall be made via bank transfer to the firm's account at Jusan Bank, Almaty, Kazakhstan. IBAN: KZ85 9900 0000 0000 0000 0000.
• Invoices will be issued in both USD and KZT equivalents at the National Bank of Kazakhstan's official exchange rate on the date of invoicing.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, the Lawyer fees and rates may be subject to revision.
2. The engagement of our Lawyer services is governed by the Civil Code of the Republic of Kazakhstan, the Law of the Republic of Kazakhstan "On Advocacy," and the applicable rules of the Almaty Bar Association.
3. All work performed by our Lawyer in Kazakhstan Almaty shall be subject to strict confidentiality in accordance with the attorney-client privilege provisions under Kazakh law.
4. The Client acknowledges that this Quotation Estimate does not constitute a guarantee of any particular outcome in litigation or regulatory proceedings.
5. Disputes arising from this engagement shall be resolved by the Arbitration Centre of the Astana International Financial Centre (AIFC) in accordance with its rules, or alternatively by the competent courts of Almaty, Kazakhstan.
6. Either party may terminate the engagement upon thirty (30) days' written notice. Fees for work completed up to the date of termination shall remain payable.
