1. Purpose of This Quotation Estimate

This Quotation Estimate is issued by Thiri & Associates Legal Counsel, a duly registered law firm operating in Myanmar Yangon, to provide the prospective client with a comprehensive and transparent breakdown of all professional legal fees, disbursements, and ancillary costs associated with the engagement of our Lawyer for the matter referenced above. This document serves as a formal cost projection and does not constitute a binding contract until both parties have executed the separate Legal Services Engagement Agreement. All fees quoted herein are subject to the terms and conditions set forth in Section 6 of this Quotation Estimate.

2. Scope of Legal Services

The Lawyer assigned to this matter will provide the following professional services within the jurisdiction of Myanmar Yangon and, where applicable, in coordination with relevant government offices and courts:

Comprehensive review and analysis of the disputed commercial supply agreement dated 12 March 2024, including identification of breach clauses, force majeure provisions, and governing law stipulations under the Myanmar Contract Act.
Preparation and filing of a formal legal notice (demand letter) to the counterparty, Golden Rice Exports Ltd., outlining the client's position and proposed settlement terms.
Representation of the client in up to three (3) mediation sessions before the Yangon District Court Mediation Centre, including preparation of mediation briefs and settlement position papers.
Regulatory compliance audit of the client's import-export licensing under the Myanmar Foreign Investment Law (2016) and the Myanmar Investment Commission (MIC) guidelines, with a written compliance report delivered within 21 business days.
Drafting of a revised master service agreement incorporating updated penalty clauses, arbitration provisions under the Myanmar Arbitration Law (2016), and a governing law clause specifying Myanmar Yangon as the seat of any future dispute resolution.
General legal advisory consultations (up to 10 hours) via in-person meetings at our Myanmar Yangon office or by telephone, as reasonably required during the engagement period.

Note: All amounts are quoted in Myanmar Kyat (MMK). The total estimated fee of MMK 10,395,000 (Ten Million Three Hundred Ninety-Five Thousand Myanmar Kyat) is an approximation. Final billing may vary by up to 10% depending on the complexity of the matter, additional court appearances, or unforeseen regulatory requirements encountered during the engagement in Myanmar Yangon. 4. Payment Terms

Advance Payment: 40% of the total estimated fee (MMK 4,158,000) is due upon execution of the Legal Services Engagement Agreement and prior to the commencement of any work by the Lawyer.
Interim Payment: 30% (MMK 3,118,500) is due upon completion of the mediation phase or upon filing of the compliance audit report, whichever occurs first.
Final Payment: The remaining 30% (MMK 3,118,500) is due within fourteen (14) calendar days of the delivery of the final revised agreement and all supporting documentation.
All payments shall be made via bank transfer to the firm's designated account at CB Bank, Yangon Main Branch, Myanmar. Cheques and cash payments are not accepted for amounts exceeding MMK 500,000.

5. Validity and Acceptance

This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue, i.e., until 14 July 2025. Should the client wish to proceed beyond this validity period, the Lawyer and the firm reserve the right to revise the fee schedule to reflect any changes in applicable Myanmar legal fees, government levies, or market conditions in Myanmar Yangon. Acceptance of this Quotation Estimate shall be confirmed in writing by the client's authorized signatory and does not, by itself, create an attorney-client relationship. A formal engagement letter must be executed separately.

6. Terms and Conditions

The Lawyer shall maintain strict confidentiality in accordance with the Myanmar Legal Profession Law and the firm's internal ethical guidelines. All client documents and communications received in Myanmar Yangon shall be stored in a secure, access-controlled environment.
The firm shall not represent any party whose interests are directly adverse to the client in the same or a related matter without the client's prior written consent.
Any additional services outside the scope defined in Section 2 shall be subject to a separate written Quotation Estimate approved by the client before work commences.
The firm's liability for any claim arising from this engagement shall not exceed the total fees actually paid by the client under this Quotation Estimate.
This Quotation Estimate and any resulting engagement shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes shall be resolved by the competent courts in Myanmar Yangon.
The client acknowledges that the Lawyer's professional judgment regarding strategy, timing, and legal interpretation is final and binding, provided it is exercised in good faith and in the client's best interest.

7. Acceptance and Authorization

By signing below, the client acknowledges receipt of this Quotation Estimate, confirms understanding of the fee structure, and authorizes the Lawyer to commence the legal services described herein in Myanmar Yangon.
