This Quotation Estimate is issued by Shrestha & Associates Legal Consultants, a duly registered law firm operating in Nepal Kathmandu, in response to the written request submitted by Mr. Dinesh Koirala on 08 June 2025. The purpose of this document is to provide a comprehensive, itemized breakdown of the professional fees, disbursements, and ancillary charges that will be incurred in the engagement of our Lawyer services for the matters described herein. This Quotation Estimate serves as a formal proposal and does not constitute a binding contract until countersigned and accepted by the client in accordance with the terms set forth in Section 7 of this document.
2. Scope of Legal ServicesThe Lawyer engagement under this Quotation Estimate encompasses the following professional services to be rendered in Nepal Kathmandu:
- Drafting, review, and negotiation of a commercial supply agreement between KTM Electronics Pvt. Ltd. and a foreign trading partner based in Singapore.
- Legal due diligence on the proposed joint venture structure under the Companies Act, 2063 (2006) of Nepal and the Foreign Investment and Technology Transfer Act, 2075 (2018).
- Representation before the Office of the Company Registrar, Kathmandu, for registration of the joint venture entity.
- Advisory counsel on tax implications under the Income Tax Act, 2058 (2002) and applicable VAT regulations administered by the Inland Revenue Department, Nepal Kathmandu.
- Preparation of a comprehensive legal opinion letter regarding intellectual property protection for proprietary electronic components to be manufactured in Nepal.
- General corporate legal advisory on a retainer basis for a period of twelve (12) months from the date of engagement.

- 25% advance payment (NPR 478,838) due upon execution of the engagement letter.
- 40% milestone payment (NPR 766,140) due upon completion of due diligence and drafting of the supply agreement.
- 35% final payment (NPR 670,372) due upon delivery of the legal opinion letter and completion of all registration formalities.
- The monthly retainer fee of NPR 45,000 shall be payable on the 1st of each calendar month via bank transfer to the firm's account at Nabil Bank, Kathmandu Branch.
- All payments are subject to the applicable 13% Value Added Tax as levied by the Government of Nepal for services rendered in Kathmandu.
- This Quotation Estimate is valid for thirty (30) days from the date of issue. Beyond this period, fees may be subject to revision based on prevailing market conditions in Nepal Kathmandu.
- The Lawyer and the firm shall maintain strict confidentiality of all client information in accordance with the Nepal Bar Council Code of Professional Conduct and the Privacy Act, 2075 (2018).
- Any dispute arising from the interpretation or execution of this engagement shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act, 2055 (1999).
- The firm reserves the right to withdraw from the engagement with fourteen (14) days' written notice in the event of a conflict of interest or non-payment of outstanding fees exceeding sixty (60) days.
- All work product, including drafts, opinions, and correspondence, shall remain the intellectual property of the firm until full payment is received.
- This Quotation Estimate does not guarantee any specific legal outcome. The Lawyer shall exercise professional judgment and due diligence in the performance of all assigned tasks.
This Quotation Estimate assumes that all necessary documents, company records, and supporting materials will be provided by the client within five (5) business days of the engagement commencement. Any delays in document provision may result in additional billing. This estimate does not include costs associated with litigation before any court of law in Nepal, international travel expenses, or services beyond the scope explicitly outlined in Section 2. Should the scope of work expand, a revised Quotation Estimate will be prepared and submitted for the client's approval before any additional work commences.
7. AcceptanceBy signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure outlined herein. This signature constitutes a formal engagement of the Lawyer services described and authorizes the firm to commence work in Nepal Kathmandu.
