This Quotation Estimate is formally issued by Delgado & Associates Law Office, a registered law firm operating in the Philippines Manila metropolitan area, to provide Mr. Juan R. Santos and Santos Trading Corporation with a comprehensive and transparent breakdown of professional legal fees, expenses, and charges for the engagement of a Lawyer to represent the client in matters of corporate governance, civil litigation, and real estate transactions. This document serves as a binding proposal upon acceptance and shall govern all financial arrangements between the Lawyer and the client for the scope of work described herein.
The Lawyer, Atty. Maria C. Delgado, together with her designated associate counsel, shall provide the following professional services within the jurisdiction of the Philippines Manila and its adjacent courts and government offices:
- Corporate Legal Advisory: Ongoing consultation on corporate governance, compliance with the Securities and Exchange Commission (SEC) of the Philippines, and the Revised Corporation Code (Republic Act No. 11232). This includes quarterly legal audits and board meeting attendance in the Philippines Manila business district.
- Civil Litigation Representation: Full representation before the Regional Trial Court (RTC) of Manila, the Metropolitan Trial Courts (MeTC), and the Court of Appeals in a pending contract dispute involving a commercial lease agreement. This encompasses drafting of complaints, motions, memoranda of argument, and trial appearances.
- Real Estate Transaction Support: Legal due diligence, title verification with the Registry of Deeds of Manila, preparation and review of Deeds of Absolute Sale, Deeds of Lease, and related instruments for a property acquisition in Quezon City, Philippines Manila.
- Document Drafting and Review: Preparation of notarial instruments, power of attorney, employment contracts, non-disclosure agreements, and any other legal documents as reasonably required by the client during the engagement period.
- Regulatory Filings: Assistance with filings before the Bureau of Internal Revenue (BIR), Department of Labor and Employment (DOLE), and the Philippine Statistics Authority (PSA) as applicable to the client's operations in the Philippines Manila area.

* All amounts are quoted in Philippine Pesos (PHP) and are subject to the prevailing 12% Value Added Tax (VAT) as mandated by the Bureau of Internal Revenue. The total inclusive of VAT shall be PHP 565,600.00.
The retainer fee shall be paid in full upon execution of the Legal Services Agreement. Litigation and transaction-based fees shall be payable in two (2) equal installments: fifty percent (50%) upon commencement of the respective service and fifty percent (50%) upon completion or final resolution. All government fees, court costs, and third-party expenses shall be reimbursed by the client within ten (10) business days of presentation of official receipts. Payment shall be made via bank transfer to the firm’s designated account at BDO Unibank, Philippines Manila branch, or by certified manager’s check.
5.1 This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. Beyond this period, the Lawyer reserves the right to revise fees based on prevailing market rates in the Philippines Manila legal services industry.
5.2 The Lawyer shall maintain strict confidentiality in accordance with the Philippine Rules of Court and the Code of Professional Responsibility. All client documents and information shall be treated as privileged and confidential.
5.3 The engagement may be terminated by either party upon thirty (30) days’ written notice. In the event of early termination, the client shall be liable for all fees and expenses incurred up to the date of termination.
5.4 The Lawyer shall not be liable for any adverse court decision, as legal outcomes are subject to the discretion of the judiciary. The scope of this Quotation Estimate covers professional legal representation and does not guarantee any specific result.
5.5 Any additional services outside the scope described herein shall be subject to a separate written Quotation Estimate and mutual agreement prior to commencement.
5.6 This Quotation Estimate and the resulting Legal Services Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising herefrom shall be resolved through the courts of the Philippines Manila jurisdiction.
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure outlined herein. The Lawyer confirms availability to commence services within five (5) business days of full payment of the retainer fee.
