This Quotation Estimate is issued by Despujol & Ferrer Legal Counsel S.L., a registered law firm practising in Barcelona, Spain, to provide Mr. James A. Whitfield with a comprehensive and transparent breakdown of the professional fees, disbursements, and associated costs for the legal services to be rendered. This document constitutes a formal Quotation Estimate and does not, in itself, create a binding contractual obligation until formally accepted by both parties in writing. All services described herein shall be governed by the applicable legislation of the Kingdom of Spain, including the Ley de Ordenación de las Profesionales de Abogado (LOPA), the Estatuto General de la Abogacía Española, and the professional regulations of the Il·lustre Col·legi de l'Advocacia de Barcelona.
The Lawyer and legal team at Despujol & Ferrer Legal Counsel S.L. shall provide the following services in connection with the client's matter regarding the acquisition of a residential property located in the Eixample district of Barcelona, Spain, including all associated due diligence, contractual negotiation, and registration proceedings before the competent Spanish authorities:
- Comprehensive legal due diligence on the property, including verification of title deeds at the Registro de la Propiedad de Barcelona, review of urban planning compliance (Licencia de Urbanismo), and confirmation of the absence of encumbrances, liens, or pending litigation.
- Review, negotiation, and drafting of the Compromiso de Compraventa (Preliminary Purchase Agreement) and the Escritura Pública de Compraventa (Public Deed of Sale) to be executed before a Notario Público in Barcelona.
- Advisory services regarding Spanish tax obligations, including the calculation and filing of Impuesto sobre Transmisiones Patrimoniales (ITP) at the applicable rate of 10% for second-hand residential property in Catalonia, and the corresponding Impuesto de Bienes Inmuebles (IBI) registration.
- Coordination with the Notary Public, the Catastro, and the Agencia Tributaria de Cataluña to ensure full compliance with all statutory requirements for the transfer of ownership in Barcelona, Spain.
- Post-completion advisory for a period of thirty (30) calendar days, including guidance on the registration of utility accounts, municipal taxes, and any ancillary matters arising from the property acquisition.

The total amount set forth in this Quotation Estimate shall be payable as follows: a non-refundable retainer of 30% (EUR 2,012.40) due upon execution of the Professional Services Agreement; a further 40% (EUR 2,683.20) due upon completion of the due diligence phase; and the remaining 30% (EUR 2,012.40) due within fifteen (15) business days following the execution of the Escritura Pública de Compraventa before the Notary Public in Barcelona. All payments shall be made by bank transfer to the firm's designated account at CaixaBank, S.A., Barcelona branch.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, the Lawyer reserves the right to revise the fees and disbursements to reflect any changes in applicable Spanish or Catalan legislation, registry fee schedules, or market conditions in Barcelona.
- All professional fees are exclusive of VAT (Impuesto sobre el Valor Añadido), which shall be applied at the current statutory rate of 21% as per the Ley 37/1992 del IVA in Spain.
- The estimated hours provided in this Quotation Estimate are good-faith projections. Should the scope of work expand materially beyond what is described herein, the Lawyer shall notify the client in writing and issue a supplementary Quotation Estimate prior to commencing additional work.
- The Lawyer shall maintain full professional confidentiality in accordance with the secreto profesional abogado as established under Article 5 of the Estatuto General de la Abogacía Española and the GDPR (Reglamento (UE) 2016/679).
- Any dispute arising from the interpretation or execution of this Quotation Estimate shall be subject to the exclusive jurisdiction of the competent courts of Barcelona, Spain, in accordance with the Ley de Enjuiciamiento Civil.
- This Quotation Estimate does not constitute a guarantee of outcome. The Lawyer shall exercise all due diligence and professional competence in accordance with the standards of the Il·lustre Col·legi de l'Advocacia de Barcelona, but no specific result can be contractually assured.
By signing below, the Client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure set forth herein. The Lawyer confirms that the services described will be performed in full compliance with all applicable laws of Spain and the autonomous community of Catalonia, and in accordance with the professional ethical standards of the legal profession in Barcelona.
