Whitfield with a comprehensive and transparent breakdown of professional Lawyer services to be rendered in connection with a commercial contract dispute and related regulatory compliance matters. A binding engagement shall only be established upon the execution of a separate Legal Services Agreement in accordance with the Turkish Code of Obligations (Türk Borçlar Kanunu, Law No. 6098) and the Turkish Code of Civil Procedure (HMK, Law No. 6100).

All legal services described herein shall be performed by a licensed Lawyer (Avukat) duly registered with the Istanbul Bar Association, in full compliance with the Turkish Bar Association Law (Türk Barolar Birliği Kanunu, Law No. 1136) and the applicable ethical rules governing the legal profession in Turkey Istanbul. The Lawyer assigned to this matter shall possess a minimum of twelve (12) years of post-qualification experience in commercial litigation and corporate regulatory affairs within the Istanbul metropolitan judicial district.

In addition to the professional fees set out in this Quotation Estimate, the client shall be responsible for the following out-of-pocket expenses incurred by the Lawyer in the course of representing the client in Turkey Istanbul. These disbursements shall be billed at actual cost with supporting receipts:

• Court filing fees (Dava Harcı) and stamp duties (Damga Vergisi) payable to the Istanbul Commercial Court, estimated at EUR 1,500.00 – EUR 2,200.00 depending on the claimed amount.
• Expert witness fees (Bilirkişi Ücreti) if the court appoints a technical or financial expert, estimated at EUR 800.00 – EUR 1,500.00.
• Translation and certification costs for any foreign-language documents submitted to the Istanbul court, at a rate of EUR 12.00 per page.
• Local transportation, courier, and document reproduction costs within the Istanbul metropolitan area, capped at EUR 300.00 per quarter.
• Notarization and apostille fees for documents requiring authentication under the Hague Apostille Convention, as applicable in Turkey.

This Quotation Estimate is structured to provide the client with a clear and predictable financial framework. Payment shall be made in accordance with the following schedule:

• Retainer / Advance Payment: 30% of the total estimated professional fees (EUR 7,200.00 excl. VAT) shall be paid within ten (10) business days of the execution of the Legal Services Agreement. This retainer shall be credited against the final invoice.
• Interim Invoicing: The Lawyer shall issue interim invoices on a monthly basis for services rendered, with payment due within fifteen (15) calendar days of the invoice date. Invoices shall be issued in accordance with the Turkish Electronic Invoice (e-Fatura) regulations of the Revenue Administration (Gelir İdaresi Başkanlığı).
• Final Settlement: The balance of the professional fees, adjusted for actual hours worked, shall be invoiced within thirty (30) days of the conclusion of the matter (judgment, settlement, or withdrawal).
• Payment Method: All payments shall be made by bank transfer to the firm's designated account at Ziraat Bankası A.Ş., Istanbul branch, in Euro (EUR) or Turkish Lira (TRY) at the exchange rate published by the Central Bank of the Republic of Turkey (TCMB) on the date of payment.
• Late Payment: Overdue amounts shall accrue interest at the statutory rate (Yasal Faiz) as determined by the Central Bank of Turkey, in accordance with Article 120 of the Turkish Code of Obligations.

• This Quotation Estimate is valid for a period of thirty (30) days from the date of issue. Upon expiry, the fees and terms set forth herein may be subject to revision without prior notice.
• The estimated hours and fees provided in this document are good-faith estimates based on the information available at the time of preparation. The Lawyer reserves the right to adjust the scope and corresponding fees should the complexity of the matter materially change, provided that the client is notified in writing at least five (5) business days in advance.
• This Quotation Estimate and any resulting engagement shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from or in connection with this estimate shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.
• The Lawyer shall maintain professional confidentiality in strict accordance with Article 36 of the Turkish Bar Association Law and the Istanbul Bar Association's Code of Ethics. All client information shall be stored in compliance with the Turkish Personal Data Protection Law (KVKK, Law No. 6698).
• This Quotation Estimate does not constitute a guarantee of any particular legal outcome. The Lawyer shall exercise the highest degree of professional diligence and skill in representing the client's interests before the courts and authorities of Turkey Istanbul.
• The client acknowledges that the Lawyer is a member of the Istanbul Bar Association and is bound by the professional rules and disciplinary procedures of that body. Any complaint regarding professional conduct shall be directed to the Istanbul Bar Association Disciplinary Committee.

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and fee structure set forth herein. The client further confirms that the Lawyer and Bosphorus Legal Counsel LLP have been duly authorized to act on the client's behalf in the matters described in this document within the jurisdiction of Turkey Istanbul.
