This Quotation Estimate is issued by Mukasa & Associates Advocates, a duly registered law firm practising in Uganda Kampala, in response to the written request received from Mr. David Okello on 5 June 2025. The purpose of this document is to provide a comprehensive and itemised estimate of the professional fees, disbursements, and ancillary costs that will be incurred in the engagement of our firm's Lawyer to represent the Client in the matter described below. This Quotation Estimate is prepared in accordance with the Advocates (Professional Fees) Rules, 2018, and the general practice of the Uganda Bar Council governing the billing of legal services in Uganda Kampala.
2. Scope of Legal ServicesThe Lawyer engaged under this Quotation Estimate shall provide the following professional legal services to the Client in Uganda Kampala:
- Commercial Contract Review and Negotiation: Comprehensive review, redrafting, and negotiation of a supply and distribution agreement between Nile Trading Enterprises Ltd. and a foreign supplier, including all annexures, schedules, and force majeure clauses.
- Corporate Compliance Advisory: Advisory opinion on the Client's compliance with the Companies Act, 2012, the Uganda Revenue Authority (URA) tax obligations, and the Uganda Competition and Consumer Protection Authority (UCCPA) regulations applicable in Uganda Kampala.
- Dispute Resolution Representation: Full representation of the Client before the Commercial Division of the High Court of Uganda at Kampala in a pending contract dispute (Case No. HC/CS/2025/0142), including filing of pleadings, attendance at case management conferences, and trial advocacy.
- Intellectual Property Filing: Preparation and lodgment of a trademark application with the Uganda Registration Services Bureau (URSB) for the Client's brand name, including search, filing, and response to any objections.
- General Legal Consultation: Up to twenty (20) hours of general legal consultation and advisory services as reasonably required by the Client during the engagement period.
The following table sets out the detailed Quotation Estimate of fees and costs. All amounts are stated in Ugandan Shillings (UGX) and are exclusive of the 18% Value Added Tax (VAT) unless otherwise stated.

- A retainer deposit of twenty-five percent (25%) of the total Quotation Estimate amount, i.e., UGX 14,602,500 (inclusive of VAT), shall be payable within seven (7) working days of the Client's written acceptance of this Quotation Estimate.
- Monthly progress invoices shall be issued at the end of each calendar month for services rendered and disbursements incurred. Payment of each invoice is due within fourteen (14) days of the invoice date.
- The balance of the Quotation Estimate shall be payable upon completion of all services or upon final resolution of the court matter, whichever occurs first.
- All payments shall be made by bank transfer to the firm's designated account at Stanbic Bank Uganda, Kampala Branch, or by certified cheque drawn on a Ugandan bank.
- Late payments shall attract interest at the rate of two percent (2%) per month on the outstanding balance, in accordance with the Advocates (Professional Fees) Rules, 2018.
- This Quotation Estimate is valid for thirty (30) days from the date of issue. Upon expiry, the fees and rates set out herein may be revised to reflect current market conditions in Uganda Kampala.
- The Lawyer shall devote reasonable professional time and attention to the Client's matter. However, the firm reserves the right to assign a different qualified Lawyer within the firm to handle specific aspects of the engagement, provided the Client is notified in writing.
- The Client agrees to provide all necessary documents, information, and access to relevant parties in a timely manner. Delays caused by the Client's failure to provide such materials shall not be attributable to the Lawyer and may result in additional fees.
- This Quotation Estimate does not constitute a guarantee of any particular outcome in the court proceedings or any regulatory filing. The Lawyer shall exercise professional judgment and due diligence in the conduct of the matter.
- Confidentiality: All information exchanged between the Client and the Lawyer in connection with this engagement shall be treated as strictly confidential and shall not be disclosed to any third party except as required by law or the rules of the Uganda Bar Council.
- Governing Law: This Quotation Estimate and the engagement it contemplates shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Uganda Kampala.
- This Quotation Estimate shall become a binding agreement upon the Client's written acceptance and the payment of the retainer deposit. It shall be incorporated into the formal retainer agreement to be executed by both parties.
By signing below, the Client acknowledges receipt of this Quotation Estimate, confirms that the scope of services and fee structure are understood and accepted, and authorises the Lawyer at Mukasa & Associates Advocates to commence the engagement in Uganda Kampala as described herein.
