I. Purpose of This Quotation Estimate

This Quotation Estimate is issued by the undersigned Lawyer, a licensed attorney in good standing with the State Bar of California, to provide the prospective client with a comprehensive, itemized projection of professional legal fees, court costs, and associated expenses for the engagement described herein. This Quotation Estimate pertains specifically to legal services to be rendered within the jurisdiction of United States San Francisco, encompassing matters before the San Francisco Superior Court, the U.S. District Court for the Northern District of California, and any applicable administrative tribunals located in the San Francisco metropolitan area. Important Note: This Quotation Estimate is a good-faith projection based on the facts and circumstances known to the Lawyer at the time of preparation. Actual fees may vary depending on the complexity of the matter, the number of opposing parties, court scheduling in United States San Francisco, and any unforeseen procedural developments. The Lawyer will provide written notice to the client if projected fees are expected to exceed this Quotation Estimate by more than fifteen percent (15%). IV. Payment Terms

The client shall provide a non-refundable retainer deposit of $10,000.00 (Ten Thousand U.S. Dollars) upon acceptance of this Quotation Estimate to secure the Lawyer's availability and to cover initial case preparation. Subsequent invoices shall be rendered on a monthly basis, with payment due within thirty (30) days of the invoice date. All payments shall be made by certified check, wire transfer, or ACH to the firm's trust account held at a federally insured bank in San Francisco, California. Late payments shall accrue interest at the rate of 1.5% per month as permitted under California Business and Professions Code Section 6147.

V. Terms and Conditions

1. Jurisdiction and Governing Law: This Quotation Estimate and the resulting attorney-client relationship shall be governed by the laws of the State of California. All disputes arising from this engagement shall be resolved in the courts of United States San Francisco or, at the client's election, through binding arbitration administered by the American Arbitration Association in San Francisco, California.

2. Confidentiality: The Lawyer shall maintain strict confidentiality of all information provided by the client in accordance with California Evidence Code Section 954 and the ABA Model Rules of Professional Conduct. This obligation survives the termination of the engagement.

3. Termination: Either party may terminate the engagement upon fourteen (14) days' written notice. Upon termination, the client shall be entitled to a complete file and all work product, and the Lawyer shall render a final accounting of fees and costs incurred up to the date of termination.

4. No Guarantee of Outcome: The Lawyer makes no representation or warranty regarding the outcome of any legal proceeding. This Quotation Estimate reflects professional fee projections only and does not constitute a guarantee of any particular result in any court or administrative body in United States San Francisco.

5. Conflict of Interest: The Lawyer warrants that, as of the date of this Quotation Estimate, no conflict of interest exists that would impair the Lawyer's ability to represent the client zealously and effectively.

6. Validity Period: This Quotation Estimate shall remain valid for thirty (30) calendar days from the date of issue. Thereafter, the Lawyer reserves the right to revise fees, rates, or terms to reflect current market conditions in the San Francisco legal services industry.

VI. Acceptance

By signing below, the client acknowledges receipt of this Quotation Estimate, confirms understanding of the scope of services, fee structure, and terms outlined herein, and authorizes the Lawyer to commence the engagement described. The client further acknowledges that this Quotation Estimate constitutes a binding agreement upon mutual execution and deposit of the retainer fee.
