1. Scope of Work — Marine Engineer Services

This Quotation Estimate is issued by Atlántico Marine Engineering S.A. to provide comprehensive professional services of a certified Marine Engineer for the operational maintenance, inspection, and technical oversight of the vessel fleet operated by Compañía Naval del Plata S.A. at the port facilities in Argentina Buenos Aires. The scope encompasses the following deliverables:

  • Periodic Machinery Inspection: Full diagnostic assessment of main diesel engines, auxiliary generators, and propulsion systems aboard three (3) cargo vessels moored at Dársena Sur, Buenos Aires. Each inspection cycle covers a minimum of 48 hours of on-site work per vessel.
  • Preventive Maintenance Program: Design and implementation of a 12-month preventive maintenance schedule compliant with Argentine Maritime Authority (Dirección Nacional de los Registros Navales) regulations and International Maritime Organization (IMO) standards.
  • Boiler and Pressure Vessel Certification: Annual inspection and certification of all onboard boilers, steam generators, and pressure-containing equipment in accordance with Argentine national codes and the Buenos Aires port authority requirements.

3. Terms and Conditions

3.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After this period, all prices are subject to revision due to potential fluctuations in the Argentine peso exchange rate, fuel surcharges, and port authority fee adjustments applicable in Buenos Aires.

3.2 Payment Terms: Payment shall be made in three (3) equal installments: 40% upon contract signing, 35% upon completion of the mid-project milestone (boiler certification and maintenance program delivery), and 25% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account of Atlántico Marine Engineering S.A. at Banco de la Nación Argentina, Sucursal Buenos Aires.

3.3 Tax Obligations: All amounts stated in this Quotation Estimate are subject to the applicable Argentine Value Added Tax (IVA) at the current rate of 21%. The client is responsible for any additional withholding taxes (percepciones) as mandated by AFIP for transactions conducted in Argentina Buenos Aires.

3.4 Marine Engineer Qualifications: The assigned Marine Engineer shall hold a valid Class 1 Marine Engineer certificate recognized by the Argentine Maritime Authority, a minimum of fifteen (15) years of commercial vessel experience, and current certification in high-voltage electrical systems and marine environmental compliance. The engineer's credentials shall be provided to the client prior to commencement of work.

3.5 Insurance and Liability: Atlántico Marine Engineering S.A. maintains comprehensive professional liability insurance and workers' compensation coverage in compliance with Argentine labor law. The client shall provide appropriate port access permits and safety documentation for all personnel entering the Buenos Aires port facilities.

3.6 Force Majeure: Neither party shall be held liable for delays or non-performance resulting from force majeure events, including but not limited to port closures, adverse weather conditions affecting the Río de la Plata basin, government-mandated shutdowns, or acts of war.

3.7 Dispute Resolution: Any disputes arising from this Quotation Estimate and the subsequent service contract shall be resolved through binding arbitration in Buenos Aires, Argentina, in accordance with the rules of the Argentine Chamber of Commerce (Cámara de Comercio de Buenos Aires).

3.8 Intellectual Property: All technical reports, maintenance programs, and compliance documentation produced under this engagement shall become the property of the client upon full payment. Atlántico Marine Engineering S.A. retains the right to use anonymized data for internal quality improvement purposes.

4. Acceptance and Authorization

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Atlántico Marine Engineering S.A. to proceed with the Marine Engineer services described herein at the location in Argentina Buenos Aires, under the terms and conditions stated above.
