1. Scope of Services — Mathematician Engagement
This Quotation Estimate is issued in response to the formal request submitted by Empresa de Tecnologia e Inovação S.A. for the engagement of a qualified Mathematician to provide advanced analytical, statistical, and computational modelling services. The Mathematician, Dr. Helena Vasconcelos, holds a Doctorate in Applied Mathematics from the University of São Paulo (USP) and possesses over fifteen years of professional experience in quantitative research, algorithmic design, and data-driven decision-making frameworks. All services described in this Quotation Estimate shall be rendered in compliance with the professional standards established by the Brazilian Council of Science and Technology (CNPq) and applicable regulations of the State of São Paulo.
The Mathematician will be based in the client's headquarters located in the Bela Vista district of São Paulo, with the option of remote collaboration from a dedicated workspace in the Pinheiros neighbourhood. The engagement period covered by this Quotation Estimate spans a total of twelve (12) weeks, commencing on 1 July 2025 and concluding on 28 September 2025, unless otherwise extended by mutual written agreement.

3. Payment Terms
Payment for the services outlined in this Quotation Estimate shall be made in three (3) equal instalments via bank transfer (TED or PIX) to the account of the Mathematician, as follows:
- First instalment (33.33%): R$ 60,116,00 — due upon signing of the service contract, no later than 30 June 2025.
- Second instalment (33.33%): R$ 60,116,00 — due on 1 August 2025, upon completion of Week 6 deliverables.
- Third instalment (33.34%): R$ 60,116,00 — due on 30 September 2025, upon final acceptance of all deliverables.
Late payments shall accrue a monthly interest rate of 1% (one percent) in accordance with Article 41 of the Brazilian Civil Code (Código Civil, Lei nº 10.406/2002), plus a 2% penalty fee.
4. Deliverables and Milestones
The Mathematician commits to delivering the following tangible outputs during the engagement period in São Paulo:
- A comprehensive mathematical model document (minimum 40 pages) detailing the supply-chain optimisation algorithm, including proofs of convergence and complexity analysis.
- A statistical risk-assessment report with Monte Carlo simulation results, confidence intervals, and scenario analyses tailored to the Brazilian market context.
- Three (3) operational simulation modules coded in Python and MATLAB, fully documented and tested.
- One (1) executive presentation (in Portuguese and English) summarising all findings for the board of directors in São Paulo.
- Four (4) recorded training sessions for the in-house team, with accompanying slide decks and exercise materials.
5. Terms, Conditions, and Legal Provisions
This Quotation Estimate is governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo. The Mathematician shall comply with all applicable data-protection regulations, including the Brazilian General Data Protection Law (LGPD — Lei nº 13.709/2018), particularly when handling any personal or sensitive data encountered during the engagement.
Intellectual property generated specifically for the client under this Quotation Estimate shall be transferred to Empresa de Tecnologia e Inovação S.A. upon full payment. Pre-existing methodologies, theorems, and software tools developed by the Mathematician prior to this engagement shall remain the exclusive property of Dr. Vasconcelos.
This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, all rates and availability must be reconfirmed in writing. Any modifications to the scope of work must be documented through a formal amendment to this Quotation Estimate, signed by both parties.
Important Note: All monetary values in this Quotation Estimate are expressed in Brazilian Reais (BRL) and are subject to adjustment in the event of a significant change in the exchange rate or municipal tax regulations in the city of São Paulo during the engagement period. The Mathematician reserves the right to reschedule on-site visits with a minimum of 48 hours' prior notice due to public holidays in the State of São Paulo.6. Acceptance
