1. Scope of Work – Mechanical Engineer Services

This Quotation Estimate is issued by Helvetia Engineering Solutions AG to provide comprehensive Mechanical Engineer consulting and design services for the Alpine Manufacturing Group AG facility located in Switzerland Zurich. The scope encompasses the full redesign of the existing production line, thermal management system optimization, structural integrity assessment, and the delivery of complete engineering documentation in compliance with Swiss and European standards (SIA, EN, and ISO 9001:2015).

The Mechanical Engineer team assigned to this project will operate on-site in Switzerland Zurich for the duration of the engagement, ensuring direct collaboration with the client's internal production and quality assurance departments. All deliverables will adhere to the regulatory framework governing mechanical engineering practice in the Canton of Zurich and the broader Swiss Confederation.

3. Payment Terms

30% advance payment (CHF 30,145.23) upon written acceptance of this Quotation Estimate and signing of the service agreement.
40% milestone payment (CHF 40,193.64) upon completion and client approval of all design deliverables (Items 02, 03, 04, and 05).
30% final payment (CHF 30,145.23) upon successful commissioning, handover, and issuance of the final completion certificate.
All payments to be made via bank transfer to: Helvetia Engineering Solutions AG, UBS AG, IBAN: CH93 0023 0456 7800 3890 7, BIC: UBSWCHZH80A, Zurich, Switzerland.
Invoices are payable within 30 days of the invoice date. Late payments shall accrue interest at the Swiss statutory rate (currently 5% per annum).

4. Terms and Conditions

This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, pricing may be subject to revision based on material cost fluctuations and resource availability in the Switzerland Zurich market.
All Mechanical Engineer services shall be performed in accordance with the Swiss Code of Obligations (OR), applicable SIA norms, and the professional code of conduct of the Swiss Association of Engineers and Natural Scientists (SIA/ASCO).
The Mechanical Engineer team shall maintain full professional liability insurance (minimum CHF 5,000,000 per occurrence) throughout the project duration. A certificate of insurance shall be provided upon request.
Intellectual property rights for all design documents, CAD files, and engineering reports produced under this engagement shall transfer to the client upon full and final payment.
Confidentiality: All information exchanged between the parties shall be treated as strictly confidential in accordance with Swiss data protection law (nDSG / FADP). A mutual NDA is available upon request.
Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated work stoppages in the Canton of Zurich, shall extend the project timeline proportionally without penalty to either party.
Disputes arising from this Quotation Estimate or the resulting service agreement shall be resolved by the competent courts of Zurich, Switzerland, or by arbitration under the Swiss Rules of Arbitration administered by the Swiss Arbitration Centre.
This Quotation Estimate does not constitute a binding contract until both parties have signed and returned the acceptance section below.

5. Assumptions and Exclusions

Client shall provide timely access to the Switzerland Zurich facility, including all necessary safety equipment and site induction for the Mechanical Engineer team.
Costs for third-party laboratory testing, material procurement, and fabrication are excluded from this Quotation Estimate and shall be quoted separately.
Any scope changes exceeding 10% of the original work description will require a formal change order and revised Quotation Estimate prior to execution.
Travel and accommodation costs for the Mechanical Engineer team are included for the Switzerland Zurich site. Travel to locations outside the Canton of Zurich will be billed at cost.

6. Acceptance and Authorization

By signing below, the client acknowledges and accepts this Quotation Estimate for Mechanical Engineer services to be delivered at the Switzerland Zurich facility, and authorizes Helvetia Engineering Solutions AG to commence work in accordance with the terms stated herein.
