The Medical Researcher engaged under this Quotation Estimate will be responsible for the following duties and deliverables, all conducted in compliance with the Canadian Tri-Council Policy Statement (TCPS 2), the Food and Drug Regulations of Canada, and institutional ethics board requirements applicable in Canada Toronto:

• Design and execution of Phase II clinical trial protocols for oncology therapeutics, including literature review, statistical power analysis, and endpoint selection.
• Coordination of patient recruitment and screening across partner hospitals in Canada Toronto, including Toronto General Hospital, Sunnybrook Health Sciences Centre, and University Health Network facilities.
• Preparation and submission of Investigator's Brochures, Clinical Trial Applications (CTAs) to Health Canada, and ethics committee documentation.
• Oversight of data collection, quality assurance, and adverse event reporting in accordance with Good Clinical Practice (GCP) standards.
• Authorship and co-authorship of peer-reviewed publications, conference abstracts, and regulatory submission documents.

Payment for the services outlined in this Quotation Estimate shall be made in quarterly installments, due within thirty (30) days of invoice receipt. The schedule is as follows:

• Quarter 1 (July – September 2025): $153,295.80 CAD
• Quarter 2 (October – December 2025): $153,295.80 CAD
• Quarter 3 (January – March 2026): $153,295.80 CAD
• Quarter 4 (April – June 2026): $153,295.80 CAD

All payments shall be remitted via electronic funds transfer (EFT) to the MedResearch Solutions Inc. account at the Royal Bank of Canada, Toronto branch. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Ontario Interest Act.

1. This Quotation Estimate is valid for thirty (30) days from the date of issue. After the expiration date, pricing may be subject to revision based on market conditions in Canada Toronto.
2. The Medical Researcher and all supporting personnel engaged under this agreement shall be bound by a non-disclosure agreement (NDA) and intellectual property assignment agreement in favour of the Toronto General Research Institute.
3. All research activities shall comply with the Personal Information Protection and Electronic Documents Act (PIPEDA), the Ontario Personal Health Information Protection Act (PHIPA), and applicable Health Canada regulations.
4. Either party may terminate this engagement with sixty (60) days written notice. In the event of early termination, the client shall be liable for all costs incurred up to the termination date plus a 10% administrative wind-down fee.
5. MedResearch Solutions Inc. shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD, naming the client as an additional insured party.
6. This Quotation Estimate does not constitute a binding contract until countersigned by both parties. The executed agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
7. Any disputes arising from this engagement shall be resolved through mediation in Canada Toronto, and failing resolution, by binding arbitration under the rules of the Arbitration Association of Canada.

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes MedResearch Solutions Inc. to proceed with the engagement of the Medical Researcher and associated personnel as described herein. This acceptance constitutes a binding commitment to the terms, conditions, and pricing set forth in this document.
