This Quotation Estimate is issued by Sentinel Defense Advisory Services Pvt. Ltd. in response to the formal request received from Apex Industries Ltd. for the professional engagement of a qualified Military Officer (retired, rank of Colonel or above) to provide comprehensive security advisory, operational planning, and personnel training services. The entire scope of work described herein shall be executed within the jurisdiction of India New Delhi, encompassing the client's corporate headquarters, regional offices, and associated logistics facilities located across the National Capital Territory. This document constitutes a binding financial estimate and shall remain valid for the period specified above unless otherwise communicated in writing by either party.
2. Detailed Scope of Services – Military Officer EngagementThe Military Officer to be deployed under this arrangement shall possess a minimum of twenty-five (25) years of active service in the Indian Armed Forces (Army, Navy, or Air Force) with a distinguished record in operational command, counter-insurgency operations, or corporate security management. The officer shall hold a valid NOC from the Ministry of Defence, Government of India, and shall be registered with the Delhi Police under the relevant provisions of the Arms Act, 1959, and the Delhi Police Act, 1978. The services to be rendered in India New Delhi include, but are not limited to:
- Conducting a comprehensive security risk assessment of all client premises located in New Delhi and its immediate periphery.
- Designing and implementing a layered physical security architecture in accordance with Indian standards and best practices.
- Providing weekly on-site security audits and submitting detailed written reports to the client's Director of Security.
- Training a dedicated team of twenty (20) in-house security personnel in tactical response, crowd management, and emergency evacuation protocols.
- Advising on the procurement, deployment, and maintenance of electronic surveillance systems, access control mechanisms, and perimeter security infrastructure.
- Coordinating with the Delhi Police, NCRB, and relevant state security agencies as and when required for threat mitigation.
- Developing and rehearsing a comprehensive Business Continuity and Disaster Recovery plan specific to the client's operations in New Delhi.

* All amounts are quoted in Indian Rupees (INR). The above Quotation Estimate is exclusive of any third-party vendor costs for hardware procurement, which shall be borne directly by the client.
4. Payment Terms and Schedule- Advance Payment: 25% of the Grand Total (₹ 16,71,470) shall be due within seven (7) working days of acceptance of this Quotation Estimate.
- Monthly Installments: The remaining balance shall be payable in twelve (12) equal monthly installments of ₹ 4,01,407 each, due on the 5th of every calendar month.
- One-time Charges: Items 2, 3, 4, and 5 shall be invoiced upon completion of the respective deliverable and are payable within fifteen (15) days of invoice receipt.
- Mode of Payment: All payments shall be made via NEFT/RTGS to the bank account of Sentinel Defense Advisory Services Pvt. Ltd., HDFC Bank, Defence Colony Branch, New Delhi, A/C No. 502000XXXXXXX, IFSC: HDFC0000123.
- Late Payment: A penalty of 1.5% per month on overdue amounts shall be applicable as per the terms of the master service agreement.
- This Quotation Estimate is valid for thirty (30) days from the date of issue. Beyond this period, prices may be revised to reflect prevailing market conditions in India New Delhi.
- The engagement of the Military Officer is subject to the client's satisfactory completion of a background verification process and the officer's receipt of a valid NOC from the Ministry of Defence, Government of India.
- The Military Officer shall operate strictly within the legal framework of the Republic of India, including but not limited to the Indian Penal Code, the Delhi Police Act, the Arms Act, 1959, and the Information Technology Act, 2000.
- Confidentiality: All information, documents, and operational details shared during the course of this engagement shall be treated as strictly confidential. A mutual Non-Disclosure Agreement (NDA) shall be executed prior to commencement of services.
- Termination: Either party may terminate the engagement with a written notice of sixty (60) days. In the event of termination, all completed deliverables shall be handed over, and outstanding payments for services rendered up to the termination date shall be settled within thirty (30) days.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed curfews in New Delhi, or acts of terrorism.
- Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
- The Military Officer shall not be deemed an employee of the client but shall be engaged as an independent professional consultant under the umbrella of Sentinel Defense Advisory Services Pvt. Ltd.
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and financial obligations outlined herein. The engagement of the Military Officer shall commence on the date mutually agreed upon in writing, not earlier than the completion of all statutory clearances.
