General Terms Governing This Quotation Estimate
- This Quotation Estimate is issued by Oceanographer Ltd, a registered New Zealand company operating from Wellington, and is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates and availability are subject to reconfirmation.
- All prices quoted in this Quotation Estimate are in New Zealand Dollars (NZD) and include all equipment, vessel hire, fuel, personnel, and consumables required to deliver the services described. No additional charges will be incurred unless a formal variation is agreed in writing by both parties.
- Payment terms: 30% deposit upon acceptance of this Quotation Estimate, 40% upon completion of fieldwork, and 30% upon delivery and acceptance of the final technical report. All invoices are payable within fourteen (14) days of issue in accordance with New Zealand commercial practice.
- Oceanographer Ltd shall comply with all applicable New Zealand legislation, including the Resource Management Act 1991, the Marine and Coastal Area (Takutai Moana) Act 2011, and the Health and Safety at Work Act 2015. All necessary consents and permits for work in Wellington Harbour will be obtained prior to mobilisation.
- Weather and sea-state delays: In the event that adverse weather conditions in the Wellington region (including but not limited to southerly buster events, high swell, or cyclonic activity) prevent safe vessel operations, the project timeline shall be extended day-for-day at no additional cost to the client. Oceanographer Ltd will provide written notice within 24 hours of any such delay.
- All data, reports, and deliverables produced under this Quotation Estimate shall become the property of the Wellington Regional Council upon full payment. Oceanographer Ltd retains the right to use anonymised data for internal quality assurance and academic publication, subject to prior written approval from the client.
- This Quotation Estimate does not constitute a binding contract until both parties have executed the formal Service Agreement. Acceptance of this Quotation Estimate by signature below indicates intent to proceed and authorises Oceanographer Ltd to commence planning and resource allocation.
- Disputes arising from this Quotation Estimate or the subsequent Service Agreement shall be resolved in accordance with the laws of New Zealand and, where applicable, referred to the Disputes Tribunal or the District Court of Wellington.
- Oceanographer Ltd maintains comprehensive public liability insurance of no less than NZD $20,000,000 and professional indemnity insurance of NZD $10,000,000, with certificates available upon request.
