This Quotation Estimate is issued by Shanghai PetroTech Engineering Solutions Co., Ltd. in response to the formal request for professional services from Shanghai Offshore Energy Development Group Ltd. The scope of this Quotation Estimate covers the engagement of a qualified Petroleum Engineer to provide comprehensive technical consulting, reservoir evaluation, and drilling optimization services for the Deepwater Drilling Operations project located in the Bohai Sea Block B-12, with all administrative and coordination activities managed from our principal office in China Shanghai. This Quotation Estimate reflects current market rates for specialized Petroleum Engineer services in the China Shanghai region as of the date of issue and is subject to the terms and conditions outlined herein.

The Petroleum Engineer engaged under this Quotation Estimate shall perform the following duties in support of the client's operations in and around China Shanghai:

Reservoir characterization and volumetric analysis for Bohai Sea Block B-12, including geological modeling and fluid property assessment.
Drilling program design, well trajectory optimization, and real-time drilling parameter monitoring.
Production forecasting, decline curve analysis, and enhanced oil recovery (EOR) strategy development.
Compliance review against the National Energy Administration (NEA) of the People's Republic of China and local China Shanghai municipal environmental regulations.
Monthly technical reporting and quarterly on-site inspections at the client's operational facilities in China Shanghai.
Coordination with local regulatory bodies, including the Shanghai Municipal Bureau of Energy and the China National Petroleum Corporation (CNPC) liaison office.

Payment for this Quotation Estimate shall be structured as follows: 30% advance payment upon contract execution; 40% upon completion of the reservoir simulation and drilling optimization deliverables (Month 6); and 30% upon final acceptance of all reports and the closing technical review in China Shanghai. All payments shall be made in Chinese Yuan (CNY) via bank transfer to the account designated by Shanghai PetroTech Engineering Solutions Co., Ltd. Late payments shall accrue interest at 0.05% per calendar day in accordance with PRC commercial practice.

This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates for the Petroleum Engineer services may be revised to reflect current market conditions in China Shanghai.
The Petroleum Engineer assigned to this engagement shall hold a minimum of ten (10) years of relevant experience in offshore petroleum operations and shall be registered with the China Petroleum Engineering Association.
All work products, including reservoir models, drilling reports, and compliance documentation, shall be the exclusive property of the client upon full payment of this Quotation Estimate.
Shanghai PetroTech Engineering Solutions Co., Ltd. shall comply with all applicable laws of the People's Republic of China, including the PRC Petroleum Law, the Environmental Protection Law, and all local ordinances of China Shanghai.
Either party may terminate this engagement with thirty (30) days' written notice. In such case, the client shall pay for all services rendered up to the termination date as itemized in this Quotation Estimate.
Confidentiality: All proprietary data, well logs, and operational parameters shared in connection with this Quotation Estimate shall be treated as strictly confidential and shall not be disclosed to third parties without written consent.
Disputes arising from this Quotation Estimate shall be resolved through arbitration at the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in China Shanghai, under its then-current rules.
This Quotation Estimate does not constitute a binding contract until a formal service agreement is executed by both parties.

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the scope, pricing, and terms set forth herein for the engagement of the Petroleum Engineer services in China Shanghai.
