1. Purpose and Scope of This Quotation Estimate
This Quotation Estimate is issued by Atlantic Energy Consulting SARL to provide a comprehensive and itemized cost breakdown for the engagement of a senior Petroleum Engineer to support offshore and onshore hydrocarbon exploration and production operations in the Senegal Dakar region and the broader Senegalese offshore basin. This Quotation Estimate covers all professional services, technical deliverables, travel, accommodation, and associated expenses required to deploy a qualified Petroleum Engineer to the client's operational sites within and around Senegal Dakar for a contract period of twelve (12) months, renewable upon mutual agreement.
The Petroleum Engineer engaged under this Quotation Estimate shall possess a minimum of ten (10) years of progressive experience in reservoir engineering, well performance analysis, production optimization, and enhanced oil recovery (EOR) techniques. The Petroleum Engineer must hold a recognized degree in Petroleum Engineering or a closely related discipline and be registered with a professional engineering body. All services rendered by the Petroleum Engineer shall comply with the regulatory framework established by the Senegalese Ministry of Mines and the Agence Nationale des Hydrocarbures (ANH) of Senegal.
2. Detailed Scope of Services – Petroleum Engineer
The Petroleum Engineer contracted under this Quotation Estimate shall perform the following duties and deliverables in Senegal Dakar and associated offshore locations:
- Conduct comprehensive reservoir characterization and static/dynamic analysis for the Samba, Sene, and Gorgon offshore fields located in the Senegalese economic zone.
- Develop and maintain production forecasting models, well decline analyses, and material balance studies for all active and planned wells.
- Perform wellbore integrity assessments, completion optimization reviews, and artificial lift system evaluations.
- Prepare monthly and quarterly technical reports for submission to the client's management and regulatory authorities in Senegal Dakar.
- Support the design and execution of workover, stimulation, and EOR pilot programs.
- Provide technical oversight during drilling, completion, and production testing operations.
- Maintain and update the integrated reservoir simulation model in coordination with the client's geoscience team.
- Participate in HSE (Health, Safety, and Environment) audits and ensure all petroleum engineering practices meet international and Senegalese regulatory standards.

All prices are exclusive of applicable Senegalese Value Added Tax (TVA) at 18% and any withholding tax as mandated by the Direction Générale des Impôts et Domaines of Senegal. The final invoiced amount in Senegal Dakar shall reflect all statutory deductions.
4. Payment Terms and Schedule
Payment for the services outlined in this Quotation Estimate shall be made in accordance with the following schedule:
- Advance Payment (30%): USD 117,897 – due within fifteen (15) business days of contract signature and receipt of a valid invoice issued in Senegal Dakar.
- Monthly Progress Payments (55%): USD 18,114.48 per month – payable within thirty (30) days of the end of each calendar month, subject to satisfactory delivery of the Petroleum Engineer's monthly technical report.
- Final Payment (15%): USD 58,948.50 – due within thirty (30) days of successful completion of the twelve-month contract period and acceptance of the final comprehensive report by the client.
All payments shall be made via wire transfer to the designated bank account of Atlantic Energy Consulting SARL, BIC: SNBKSN2X, IBAN: SN07 1000 6000 0123 4567 8901 23, domiciled in Senegal Dakar.
5. Terms and Conditions
- This Quotation Estimate is valid for ninety (90) calendar days from the date of issue. Beyond this period, pricing may be subject to revision based on market conditions, exchange rate fluctuations, and regulatory changes in Senegal.
- The Petroleum Engineer shall be subject to the client's site-specific HSE policies and all applicable laws of the Republic of Senegal, including the Hydrocarbons Code (Loi n° 2003-16) and its amendments.
- Intellectual property and all technical deliverables produced by the Petroleum Engineer in the course of this engagement shall remain the exclusive property of the client, with a non-exclusive license retained by Atlantic Energy Consulting SARL for internal quality assurance purposes only.
- Either party may terminate this agreement with sixty (60) days' written notice. In the event of early termination, the client shall pay for all services rendered up to the termination date plus a demobilization fee of USD 15,000.
- Disputes arising from this Quotation Estimate and the resulting contract shall be resolved through arbitration in Dakar, Senegal, in accordance with the rules of the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) arbitration center.
- This Quotation Estimate does not constitute a binding contract until countersigned by both parties and a formal Service Agreement is executed.
6. Acceptance and Authorization
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Atlantic Energy Consulting SARL to proceed with the mobilization of the Petroleum Engineer to Senegal Dakar upon execution of the formal Service Agreement.
