This Quotation Estimate is formally issued by Guangzhou International Education & Research Institute (hereinafter referred to as "the Provider") to Guangzhou University of Technology & Applied Sciences (hereinafter referred to as "the Client") in connection with the engagement of a distinguished Professor to deliver a comprehensive academic programme within the China Guangzhou metropolitan region. The Professor engaged under this arrangement shall hold a confirmed full Professorial rank in the field of Advanced Materials Science and Nanotechnology, with a minimum of fifteen (15) years of post-doctoral research experience, a publication record exceeding 120 peer-reviewed articles in internationally indexed journals, and demonstrated leadership in supervising doctoral candidates at a recognised research university. The engagement is specifically tailored to the academic and research needs of the Client's School of Advanced Engineering & Innovation, located in the Haizhu District of China Guangzhou.

The total amount specified in this Quotation Estimate shall be disbursed by the Client to the Provider in accordance with the following schedule, all payments to be made via bank transfer to the Provider's designated account at China Merchants Bank, Guangzhou Branch:
- 30% advance payment (CNY 670,500.00) – due within ten (10) business days of mutual signature of the definitive engagement contract.
- 40% interim payment (CNY 894,000.00) – due upon completion of the sixth (6th) month of the Professor's active engagement, subject to a satisfactory mid-term performance review.
- 30% final payment (CNY 670,500.00) – due within fifteen (15) business days following the conclusion of the twelve-month engagement period and submission of all final deliverables.
- This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all costs are subject to revision based on prevailing market rates in China Guangzhou.
- The Professor shall be bound by a non-disclosure agreement (NDA) and intellectual property assignment clause, ensuring that all research outputs, publications, and patents generated during the engagement period are jointly owned by the Client and the Professor, with the Client retaining primary commercialisation rights within the People's Republic of China.
- The Provider shall be responsible for all visa, work permit, and immigration compliance matters in coordination with the Guangzhou Municipal Public Security Bureau and the Guangdong Provincial Department of Education.
- Any change in scope, extension of the engagement period, or modification of the Professor's duties must be documented in a written addendum to this Quotation Estimate and signed by both parties before implementation.
- All services shall be performed in full compliance with the Higher Education Law of the People's Republic of China, the Foreign Experts Administration Regulations, and applicable local ordinances of Guangzhou Municipality.
- In the event of force majeure, including but not limited to natural disasters, public health emergencies, or government-mandated closures affecting operations in China Guangzhou, either party may suspend obligations without penalty, provided written notice is given within five (5) business days.
- Disputes arising from this Quotation Estimate or the subsequent contract shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou for binding arbitration.
By signing below, both parties acknowledge that they have read, understood, and agree to the terms set forth in this Quotation Estimate. This document, once countersigned, shall serve as the basis for the execution of the definitive Professor Engagement Contract.
