All amounts are stated in Euro (EUR). Value Added Tax (Mehrwertsteuer, MwSt.) is applied at the standard German rate of 19% in accordance with the Umsatzsteuergesetz (UStG). The Professor is registered for VAT purposes in Berlin, Germany.

3.1 Validity. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Upon expiry, the Professor reserves the right to revise the rates and terms set forth herein. The client is requested to confirm acceptance in writing within the validity period to secure the quoted rates for the engagement in Germany Berlin.

3.2 Payment Terms. Invoicing shall be issued monthly in arrears following the delivery of services. Payment is due within fourteen (14) calendar days of the invoice date via bank transfer to the Professor's designated account held with a German bank in Berlin. Late payments shall accrue interest at the statutory rate pursuant to Section 288 of the German Civil Code (BGB).

3.3 Cancellation and Termination. Either party may terminate the engagement with a written notice period of fourteen (14) days. In the event of cancellation by the client, any services already rendered by the Professor up to the date of termination shall be invoiced in full. The Professor shall not be liable for any consequential losses arising from early termination.

3.4 Intellectual Property. All lecture materials, curriculum documents, and written assessments produced by the Professor under this Quotation Estimate shall remain the intellectual property of the Professor unless otherwise agreed in a separate written agreement. The client is granted a non-exclusive, non-transferable licence to use such materials for internal academic purposes within the institution in Berlin, Germany.

3.5 Confidentiality. The Professor undertakes to treat all proprietary information, unpublished research data, and internal documents of the client with strict confidentiality in accordance with the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG) and the General Data Protection Regulation (GDPR) applicable in Germany.

3.6 Governing Law and Jurisdiction. This Quotation Estimate and any resulting contractual relationship shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.

3.7 Force Majeure. Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Berlin, Germany.

Important Notice: This Quotation Estimate constitutes a non-binding offer for the purpose of budgetary planning and internal approval processes. A binding contractual agreement shall only come into effect upon the mutual execution of a formal service contract (Dienstvertrag) by both parties. The Professor's engagement is subject to the availability of the specified time slots and the client's timely written confirmation.
