This Quotation Estimate is issued by the undersigned Professor in response to the formal request received from TechNova Solutions Pvt. Ltd. for the engagement of academic and professional expertise in the field of Applied Engineering Sciences. The services described herein are to be delivered in and around India Mumbai, specifically at the client's corporate training facility located in Bandra Kurla Complex, Mumbai. This document serves as a comprehensive financial and operational estimate for the proposed engagement and does not constitute a binding contract until both parties execute a formal service agreement.

The Professor shall provide the following professional services as part of this engagement in India Mumbai:

• Guest Lecture Series: Delivery of twelve (12) in-person lectures (each of 3 hours duration) on Advanced Structural Engineering and Computational Modelling at the client's Mumbai training centre.
• Curriculum Development: Design and documentation of a 40-hour professional development curriculum tailored for mid-level engineering professionals, including learning objectives, assessment rubrics, and reference material.
• Research Supervision & Mentoring: One-on-one mentoring sessions (6 hours per month for 3 months) for a cohort of up to eight (8) senior engineers pursuing internal research projects.
• Technical Review & Consultation: Review of three (3) internal engineering design documents with written feedback and a 2-hour debrief meeting per document.
• Workshop Facilitation: Facilitation of two (2) full-day hands-on workshops on Finite Element Analysis (FEA) software application for a group of up to 25 participants.

* All amounts are quoted in Indian Rupees (INR / ’). GST is applicable as per the Central Goods and Services Tax Act, 2017, and the Maharashtra State GST regulations. The Professor is registered under GST for professional services in Mumbai, India.

• 50% advance payment (INR 4,95,600) upon acceptance of this Quotation Estimate and execution of the service agreement.
• 30% (INR 2,97,360) payable upon completion of the Guest Lecture Series and Curriculum Development deliverables.
• 20% (INR 1,98,240) payable within 15 days of final completion of all services, including workshops and mentoring.
• Payments shall be made via NEFT/RTGS to the bank account of the Professor as specified in the service agreement. All transactions are subject to TDS (Tax Deducted at Source) as per Section 194J of the Income Tax Act, 1961, applicable in India.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, rates may be revised due to changes in operational costs in India Mumbai.
• All services shall be performed at the client's premises in Mumbai, Maharashtra, India, unless otherwise agreed in writing.
• The Professor reserves the right to reschedule any session with a minimum of 72 hours’ prior written notice in case of unavoidable academic or institutional commitments.
• Intellectual property rights in all curriculum materials, lecture notes, and workshop content developed under this engagement shall vest with the client upon full and final payment, subject to the Professor’s right to use such materials for academic purposes at Mumbai University.
• Confidentiality: Both parties agree to maintain strict confidentiality regarding proprietary information exchanged during the course of this engagement, in compliance with the Indian Information Technology Act, 2000.
• Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns, or public health emergencies affecting Mumbai, India.
• Dispute Resolution: Any disputes arising from this engagement shall be resolved through arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996.

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and financial estimates outlined herein for the engagement of the Professor in India Mumbai. This acceptance shall be effective only upon countersignature by both parties and the receipt of the advance payment.
