The Professor shall provide the following services to the client organisation, all to be conducted primarily at the University of Manchester campus or at the client's designated premises within the Manchester metropolitan area:

• Research Supervision & Direction: Ongoing academic supervision of a team of up to six (6) postgraduate research students, including weekly one-to-one meetings, progress reviews, and thesis guidance, in compliance with the University of Manchester's research integrity framework.
• Consultancy & Advisory Work: A minimum of forty (40) hours per month of expert academic consultancy, providing strategic advice on research methodology, experimental design, and publication strategy relevant to the client's innovation pipeline in Manchester.
• Lecturing & Training: Delivery of a bespoke professional development programme comprising twelve (12) half-day seminars for the client's technical staff, covering advanced topics in applied research and evidence-based practice.
• Report Writing & Peer Review: Preparation of no fewer than four (4) comprehensive technical reports and the provision of independent peer review for two (2) grant applications submitted to UK Research and Innovation (UKRI) or equivalent funding bodies.
• Conference & Public Engagement: Representation of the client at a minimum of three (3) academic conferences or industry events held in Manchester or the wider United Kingdom during the contract period.

All figures are quoted in British Pounds Sterling (GBP). VAT is applied in accordance with the Value Added Tax Act 1994 as applicable in the United Kingdom. The University of Manchester is registered for VAT under number GB 123 4567 89.

1. This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Should the client wish to proceed after the expiry date, the Professor reserves the right to revise the rates to reflect any changes in the Manchester academic services market.
2. Payment shall be made in quarterly instalments of £63,000.00 (inclusive of VAT), due within thirty (30) days of the invoice date, by direct bank transfer to the University of Manchester's designated account. Late payments shall attract interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3. All services shall be performed in the United Kingdom, with the primary working location being the University of Manchester, Oxford Road, Manchester M13 9PL. Any travel outside the Greater Manchester area for conferences or client meetings shall be subject to prior written approval and may incur additional costs at the prevailing HMRC mileage rates.
4. The Professor shall maintain full professional indemnity insurance and comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 throughout the engagement.
5. Intellectual property generated specifically for the client under this engagement shall be governed by a separate Intellectual Property Assignment Agreement to be executed prior to the commencement of work. All pre-existing academic work of the Professor shall remain the property of the University of Manchester.
6. Either party may terminate this engagement with a written notice of sixty (60) days. In the event of early termination, the client shall be liable for all services rendered up to the termination date, plus a cancellation fee of 10% of the remaining contract value.
7. This Quotation Estimate is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
8. The Professor is bound by the University of Manchester's Code of Practice for Research and by the standards set by the UK Research Integrity Office. All deliverables shall meet the academic rigour expected of a senior Professorial appointment within the Russell Group.

By signing below, the client confirms that this Quotation Estimate has been reviewed in full and that the terms, conditions, and financial figures set out herein are accepted. The Professor confirms availability to commence the engagement on the agreed start date, subject to the execution of a formal Service Agreement by both parties.
