This Quotation Estimate is issued in response to the formal request from Shanghai Pudong International Medical Center for the professional engagement of a Radiologist to provide comprehensive diagnostic imaging interpretation services within the China Shanghai metropolitan healthcare network. The scope of work encompasses the following deliverables and responsibilities:

• Diagnostic Imaging Interpretation: Full-spectrum reading of CT scans, MRI studies, X-ray films, ultrasound examinations, and PET-CT scans performed at the client facility in China Shanghai. The Radiologist shall interpret a minimum of 120 imaging studies per working day during contracted hours.
• Report Generation: Preparation of detailed, bilingual (Mandarin Chinese and English) radiology reports within four (4) hours of image acquisition for routine studies and within one (1) hour for emergency or critical findings.
• Consultative Support: Availability for multidisciplinary tumor board meetings, surgical planning consultations, and interventional radiology case reviews at the Shanghai Pudong International Medical Center and affiliated satellite clinics across the China Shanghai region.
• Quality Assurance & Peer Review: Monthly participation in radiology quality assurance audits, calibration verification of imaging equipment, and peer review of a minimum of 5% of all reports issued during the contract period.
• Training & Mentorship: Delivery of quarterly continuing medical education (CME) workshops for junior radiologists and radiology technicians stationed in the China Shanghai facility, covering advances in AI-assisted diagnostic imaging and updated ACR/ESR guidelines.
• On-Site Presence: The Radiologist shall maintain a minimum on-site presence of five (5) days per week at the primary facility in China Shanghai, with remote tele-radiology availability for after-hours critical reads.

* All amounts are denominated in Chinese Yuan (CNY / RMB). Exchange rate reference: 1 USD ≈ 7.25 CNY as of the date of this Quotation Estimate. The total in USD equivalent is approximately USD 151,763.

• Payment shall be made in monthly installments of CNY 91,690 (inclusive of VAT), due on the 5th business day of each month following the service period.
• A mobilization advance of 10% of the total Quotation Estimate value (CNY 110,028) is payable within seven (7) calendar days of contract execution to cover initial licensing, equipment calibration, and onboarding in China Shanghai.
• Payments shall be remitted via bank transfer to the account designated by the Radiologist or their registered professional entity. Wire transfer fees, if applicable, shall be borne by the client.
• Late payments shall accrue interest at a rate of 0.05% per calendar day on the outstanding balance, in accordance with PRC commercial practice.

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiration, all rates and terms are subject to revision.
• The Radiologist shall maintain valid professional liability insurance with a minimum coverage of CNY 5,000,000 per claim, registered with the Shanghai Municipal Health Commission.
• All patient data and imaging records shall be handled in strict compliance with the Personal Information Protection Law of the People's Republic of China (PIPL) and the Data Security Law of the PRC. No patient data shall be transferred outside the China Shanghai jurisdiction without explicit written consent.
• The Radiologist is engaged as an independent professional contractor and not as an employee of the client organization, unless otherwise stipulated in a separate employment agreement.
• Either party may terminate this engagement with thirty (30) days' written notice. In the event of termination, all services rendered up to the termination date shall be invoiced and paid in full.
• Disputes arising from this Quotation Estimate and the resulting contract shall be resolved through arbitration under the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in accordance with its then-current rules.
• This Quotation Estimate does not constitute a binding contract until countersigned by both parties and the mobilization advance has been received.
