This Quotation Estimate is issued by MedScan Radiology Center LLC to Severny Medical Group JSC in connection with the provision of specialized Radiologist diagnostic and imaging services to be performed at the provider's facility located in Russia Moscow. The scope encompasses the full range of radiological examinations, image interpretation, and clinical reporting services that a board-certified Radiologist will deliver over the agreed contract period. All pricing, terms, and conditions set forth in this document are specific to the Moscow, Russia jurisdiction and comply with the Federal Law of the Russian Federation on Healthcare (No. 323-FZ of 21 November 2011) and the applicable regulations of the Ministry of Health of the Russian Federation.

All diagnostic and interpretive services under this Quotation Estimate shall be performed exclusively by a licensed Radiologist holding a valid specialist certificate in Radiology and Diagnostic Imaging issued under the Russian Federation medical licensing framework. The lead Radiologist assigned to this engagement possesses a minimum of fifteen (15) years of clinical experience in Moscow-based tertiary hospitals, is a member of the Russian Society of Radiology, and maintains current continuing medical education (CME) credits as required by the Ministry of Health. A secondary Radiologist will be on standby for all on-call shifts to ensure uninterrupted 24/7 coverage at the Moscow facility. All Radiologist personnel are registered in the unified state register of medical professionals maintained by the Federal Service for Surveillance in Healthcare (Rospotrebnadzor).
4.1 Validity. This Quotation Estimate remains valid for thirty (30) calendar days from the date of issue. After the expiry date, pricing may be revised to reflect changes in the Moscow healthcare market, equipment costs, or regulatory fee adjustments.
4.2 Payment Terms. Payment shall be made in Russian Rubles (RUB) via bank transfer to the provider's account within fifteen (15) business days of invoice issuance. A 10% advance payment is required upon contract signature to secure the Radiologist staffing schedule.
4.3 Service Delivery. All Radiologist services will be rendered at the MedScan Radiology Center facility in central Moscow, Russia, or at the client's designated site within the Moscow city limits upon prior written request. Turnaround time for standard Radiologist reports shall not exceed four (4) business hours; emergency reports shall be delivered within one (1) hour.
4.4 Regulatory Compliance. The provider warrants that all Radiologist activities comply with the Federal Law on Personal Data (No. 152-FZ), the Federal Law on Healthcare (No. 323-FZ), and all applicable Moscow municipal health regulations. Patient imaging data shall be stored in accordance with Russian data-localization requirements.
4.5 Cancellation and Force Majeure. Either party may terminate the agreement with thirty (30) days' written notice. Force majeure events, including but not limited to government-mandated closures in Moscow, shall suspend obligations without penalty.
4.6 Governing Law. This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Disputes shall be resolved by the Arbitration Court of the City of Moscow.
By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed scope of Radiologist services to be delivered in Russia Moscow and that the pricing and terms herein are accepted in full. This document constitutes a binding commercial offer upon countersignature.
