This Quotation Estimate outlines the comprehensive professional services to be delivered by a senior Software Engineer engaged to support the enterprise platform modernization initiative. The Software Engineer will be physically based in Mexico Mexico City, operating from the client's premises located in the Cuauhtémoc district, ensuring direct collaboration with internal teams and adherence to local business hours (Monday through Friday, 9:00 AM to 6:00 PM, Central Standard Time).
The Software Engineer will be responsible for the design, development, testing, and deployment of microservices architecture components, API integrations, and database optimization tasks. All deliverables will comply with the technical standards established by the client's IT governance committee and will be executed in accordance with the regulatory framework applicable to software development in Mexico Mexico City, including data protection obligations under the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP).

Payment for this Quotation Estimate shall be structured in four milestones, each tied to the successful completion and client sign-off of the corresponding phase of the Software Engineer's deliverables:
- Milestone 1 (30%): Upon execution of the service agreement and commencement of the Software Engineer's on-site work in Mexico Mexico City. Amount: $5,714,160 MXN.
- Milestone 2 (30%): Upon delivery and acceptance of the microservices development phase. Amount: $5,714,160 MXN.
- Milestone 3 (25%): Upon completion of QA, testing, and code review activities. Amount: $4,761,800 MXN.
- Milestone 4 (15%): Upon final deployment, documentation handover, and project closure. Amount: $2,857,080 MXN.
- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be subject to revision based on market conditions in Mexico Mexico City.
- All rates quoted are in Mexican Pesos (MXN) and are inclusive of the Software Engineer's professional fees, on-site presence in Mexico Mexico City, and standard working hours. Overtime or weekend work will be billed at 1.5x the daily rate.
- The Software Engineer assigned to this engagement will be a full-time employee of TechNova Solutions S.A. de C.V. and will operate under a professional services contract. No employment relationship is created between the Software Engineer and the client.
- All intellectual property generated by the Software Engineer during the course of this engagement shall be the exclusive property of the client upon full payment of the amounts specified in this Quotation Estimate.
- Confidentiality obligations as defined in the mutual NDA executed on June 10, 2025, remain in full force and effect throughout the engagement and for a period of three (3) years thereafter.
- Any changes to the scope of work must be documented in a formal Change Order signed by both parties. The Quotation Estimate amounts will be adjusted accordingly.
- Applicable law governing this Quotation Estimate and the resulting service agreement shall be the commercial laws of the United Mexican States, with jurisdiction vested in the courts of Mexico Mexico City.
- Taxes: The amounts stated include IVA at the current rate of 16%. A formal CFDI (Comprobante Fiscal Digital por Internet) invoice will be issued for each payment milestone in compliance with SAT regulations.
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes TechNova Solutions S.A. de C.V. to proceed with the engagement of the Software Engineer for the services described herein, to be performed in Mexico Mexico City, under the terms and conditions set forth in this document.
