2. Scope of Services – Statistician Engagement in Germany Munich
This Quotation Estimate is issued by Bayern Analytics Consulting GmbH to formally outline the professional services to be rendered by a senior Statistician engaged on behalf of Alpen Pharma Research AG. The Statistician will be physically based in our Munich office and will conduct all analytical work within the city of Munich, Germany, ensuring full compliance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR). The Statistician will provide end-to-end biostatistical support for the Phase III clinical trial, including but not limited to sample size determination, randomization scheme design, interim analysis protocols, primary and secondary endpoint evaluation, and the preparation of regulatory submission documents in accordance with the German Federal Institute for Drugs and Medical Devices (BfArM) guidelines.

4. Terms and Conditions of This Quotation Estimate
4.1 Validity: This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. After 14 July 2025, all rates and availability of the Statistician must be reconfirmed in writing.
4.2 Payment Terms: Payment is due within thirty (30) days of invoice date. A 20% advance payment is required upon acceptance of this Quotation Estimate to secure the Statistician's availability in Munich, Germany. The remaining balance shall be invoiced in two equal monthly installments during the engagement period.
4.3 Scope Changes: Any additional services requested by the client beyond the scope defined herein will be subject to a separate written amendment to this Quotation Estimate. The Statistician will not commence additional work without prior written approval from both parties.
4.4 Confidentiality & Data Protection: The Statistician and Bayern Analytics Consulting GmbH shall adhere strictly to the German Federal Data Protection Act (BDSG) and GDPR. All clinical trial data processed in Munich, Germany, will be stored on encrypted servers located within the European Union. A separate Non-Disclosure Agreement (NDA) and Data Processing Agreement (DPA) will be executed prior to the commencement of work.
4.5 Intellectual Property: All statistical code, protocols, reports, and analytical outputs produced by the Statistician under this engagement shall become the exclusive property of Alpen Pharma Research AG upon full payment.
4.6 Cancellation: Either party may terminate this engagement with fourteen (14) days' written notice. In the event of early cancellation by the client, all hours worked up to the date of termination, plus a 10% administrative fee, shall be invoiced.
4.7 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
4.8 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Munich, Germany.
5. Acceptance and Authorization
By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms, conditions, and pricing outlined above for the engagement of the Statistician in Munich, Germany. This document does not constitute a binding contract until a formal service agreement is executed by both parties.
