All pricing and terms contained within this Quotation Estimate are binding upon mutual acceptance and are subject to the conditions outlined in Section 7 below.

The Systems Engineer engaged under this Quotation Estimate will be responsible for the full lifecycle management of the client's IT infrastructure located in and around Russia Moscow. The scope of duties includes, but is not limited to:

• Design, deployment, and maintenance of enterprise server infrastructure (Windows Server, Linux distributions) across all Russia Moscow office locations.
• Configuration and management of virtualization platforms (VMware vSphere, Microsoft Hyper-V) and containerized environments (Docker, Kubernetes).
• Network architecture planning, implementation, and troubleshooting for LAN, WAN, and hybrid cloud connectivity serving the Russia Moscow operations hub.
• Implementation and monitoring of cybersecurity protocols, firewall management, intrusion detection systems, and compliance with Russian Federal Law 152-FZ on personal data protection.
• Capacity planning, performance tuning, and disaster recovery strategy development for mission-critical systems.
• Vendor coordination, hardware procurement oversight, and technical support for all IT assets within the Russia Moscow facility.
• Documentation of all system configurations, standard operating procedures, and escalation protocols.

Payment for this Quotation Estimate shall be structured as follows:

• 30% Advance Payment – Due upon signed acceptance of this Quotation Estimate (USD 43,875.00).
• Monthly Retainer – USD 10,520.83 per month, payable on the 5th business day of each month for the duration of the 12-month engagement.
• Final Settlement – Any remaining balance, including contingency adjustments, to be settled within 15 business days of contract completion.

All payments shall be made in US Dollars via international wire transfer to the account designated in the attached payment instructions. The client acknowledges that applicable Russian tax obligations (VAT at 20%, personal income tax) may be additional to the amounts stated in this Quotation Estimate and shall be borne as per the tax residency agreement between the parties.

• This Quotation Estimate assumes the client will provide a dedicated workspace and physical access to all server rooms and network closets at the Russia Moscow facility.
• Costs for international travel beyond initial relocation are excluded unless separately agreed in writing.
• Any scope changes exceeding 15% of the original Systems Engineer responsibilities will trigger a revised Quotation Estimate within 5 business days.
• Force majeure events, including but not limited to government sanctions, regulatory changes in Russia Moscow, or natural disasters, may affect timelines and will be addressed via mutual consultation.

• This Quotation Estimate is valid for 30 calendar days from the date of issue. Beyond this period, pricing is subject to revision due to market fluctuations in the Russia Moscow IT labor market.
• The Systems Engineer shall be bound by a Non-Disclosure Agreement (NDA) and a Non-Compete clause for a period of 12 months following the termination of engagement.
• Either party may terminate the engagement with 30 days' written notice. In such cases, a pro-rata settlement of all incurred costs shall be applied.
• All intellectual property developed by the Systems Engineer during the engagement period shall remain the sole property of the client, as stipulated in the master service agreement.
• Governing law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the civil law of the Russian Federation, with disputes subject to arbitration in Moscow.
