(hereinafter referred to as "the Contractor") to Eastbridge Industrial Park Development Group (hereinafter referred to as "the Client") for the provision of a senior Telecommunication Engineer and a supporting technical team to design, deploy, and commission a comprehensive fiber-optic and 5G wireless communication infrastructure across the Eastbridge Industrial Park in China Shanghai. The Telecommunication Engineer will serve as the principal technical lead, overseeing all phases of the project from initial site survey through to final acceptance and a twelve-month warranty period.

The scope encompasses the following deliverables:

• Conduct a full-site RF survey and fiber topology assessment across 42 hectares of industrial park land in Minhang District, China Shanghai.
• Design a 120-kilometer single-mode fiber-optic backbone network with 2,400 optical distribution points.
• Plan and deploy 86 5G small-cell base stations compliant with MIIT (Ministry of Industry and Information Technology) regulations applicable in China Shanghai.
• Install and configure core and aggregation layer switching equipment, including 100G DWDM transceivers.
• Provide a detailed as-built documentation package, network topology diagrams, and a 90-day operational training program for the Client's in-house IT staff.
• Perform a 72-hour continuous load-test and submit a formal commissioning report for regulatory filing with the Shanghai Municipal Communications Administration.

All prices are quoted in Chinese Yuan (CNY) and are inclusive of standard materials, labour, and on-site supervision in China Shanghai. Prices exclude any special import duties, customs clearance fees, or third-party civil works not listed above.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Any order placed after the expiry date is subject to re-pricing by the Contractor.
2. All work shall be performed in strict compliance with the Telecommunications Regulations of the People's Republic of China, the Shanghai Municipal Communications Administration guidelines, and applicable GB/T national standards for fiber-optic and 5G infrastructure in China Shanghai.
3. The Telecommunication Engineer designated as Project Lead shall not be substituted without the prior written consent of the Client. Any replacement must hold equivalent or superior qualifications (minimum: PRC Registered Telecommunication Engineer, Grade 1).
4. The Contractor shall maintain comprehensive third-party liability insurance (minimum coverage: CNY 5,000,000 per occurrence) and workers' compensation insurance for all personnel operating on-site in China Shanghai throughout the project duration.
5. Intellectual property rights in all design documents, network topology plans, and as-built drawings produced under this Quotation Estimate shall vest in the Client upon full payment.
6. Force majeure events, including but not limited to natural disasters, government-mandated shutdowns, or changes in China Shanghai municipal planning regulations, shall extend the project timeline on a day-for-day basis without penalty to either party.
7. Disputes arising from this Quotation Estimate shall be resolved through arbitration under the Shanghai Arbitration Commission (SHAC) in accordance with its then-current rules. The seat of arbitration shall be Shanghai, China.
8. The Contractor warrants that all supplied equipment is new, unused, and free from defects for a period of twelve (12) months from the date of final acceptance.
9. Any variation to the scope of work must be documented in a written Variation Order signed by both parties before execution. The Contractor shall provide a revised Quotation Estimate for any variation exceeding CNY 100,000 in value.
10. This Quotation Estimate, together with the attached Scope of Work and Technical Specifications (Annex A), constitutes the complete and exclusive understanding between the parties regarding the services described herein.
