This Quotation Estimate is issued by PixelCraft Design Studio Inc. to Northlake Digital Solutions Ltd. for the engagement of a dedicated UX UI Designer to lead the comprehensive redesign of the client's enterprise SaaS platform. All services described herein will be delivered in accordance with Canadian professional design standards and will be executed from our studio located in Canada Toronto, ensuring full compliance with Ontario's Employment Standards Act and the federal Competition Act regarding fair commercial practices. This Quotation Estimate reflects our best professional judgment regarding scope, timeline, and cost as of the date of issue.

The UX UI Designer engaged under this Quotation Estimate will deliver the following services for the client's digital product ecosystem:

• UX Research & Discovery: Conducting user interviews, heuristic evaluations, competitive audits, and journey mapping for a minimum of 12 stakeholder sessions across the Canada Toronto metropolitan area and remote participants.
• Information Architecture & Wireframing: Developing low-fidelity wireframes, user flows, and sitemaps for 45+ unique screens spanning the web application and companion mobile interface.
• High-Fidelity UI Design: Producing pixel-perfect visual designs in Figma, including a complete design system with 200+ reusable components, typography scales, colour tokens, and accessibility-compliant contrast ratios (WCAG 2.1 AA).
• Interactive Prototyping: Building clickable, high-fidelity prototypes for usability testing with a minimum of 8 participant sessions per major release cycle.
• Design System Documentation: Authoring a living style guide and component library documentation to support the client's in-house development team post-engagement.
• Developer Handoff & QA: Providing annotated design files, asset exports, and participating in bi-weekly sprint reviews with the engineering team for the duration of the project.

The UX UI Designer engagement outlined in this Quotation Estimate is projected to span 16 weeks from the date of contract execution. The project will be managed using an agile methodology with two-week sprints. All deliverables will be reviewed and approved by the client's designated product owner before proceeding to the next phase. The UX UI Designer will be based in Canada Toronto and will attend in-person workshops at the client's Bay Street office on a weekly basis, with all other collaboration conducted via Microsoft Teams and Figma.

1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiry, pricing and availability of the UX UI Designer must be reconfirmed in writing.
2. Payment terms: 30% deposit due upon signing, 40% due at the midpoint (end of Week 8), and 30% due upon final delivery and client sign-off. All invoices are payable within 30 days of receipt in accordance with Ontario's Prompt Payment and Construction Lien Act principles for professional services.
3. All intellectual property, including but not limited to wireframes, design files, prototypes, and the design system, shall transfer to the client upon full payment. PixelCraft Design Studio Inc. retains the right to display completed work in its portfolio unless a non-disclosure agreement is executed.
4. The UX UI Designer is engaged as an independent contractor under the terms of this Quotation Estimate and is not an employee of the client. The contractor is responsible for all applicable Canadian federal and Ontario provincial tax obligations.
5. Any changes to the scope of work beyond the parameters defined herein will require a written change order signed by both parties. Additional hours will be billed at the applicable rate specified in Section 3.
6. This Quotation Estimate is governed by the laws of the Province of Ontario and the federal laws of Canada Toronto (Canada). Any disputes shall be resolved through mediation in the City of Toronto before proceeding to arbitration under the Arbitration Act (Ontario).
7. Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the engagement, in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA).
8. This Quotation Estimate does not constitute a binding contract until countersigned by both parties and the initial deposit has been received.
