Terms, Conditions & Notes Regarding This Invoice

  • This Invoice is issued in accordance with the German Commercial Code (Handelsgesetzbuch, HGB) and the applicable provisions of the German Civil Code (Bürgerliches Gesetzbuch, BGB) governing service contracts and freelance academic work.
  • Payment is due within thirty (30) calendar days of the Invoice date via SEPA bank transfer to the account details listed above. Please reference Invoice number FR-AR-2025-0047 in your payment remittance.
  • In the event of late payment, statutory interest of 8 percentage points above the European Central Bank base rate shall apply, as stipulated under § 288 BGB. The Academic Researcher reserves the right to suspend ongoing research activities until full settlement of this Invoice is received.
  • All intellectual property rights in the research outputs, data sets, and analytical models delivered under this engagement shall transfer to the client upon full payment of this Invoice. The Academic Researcher retains the right to cite the work in academic publications with appropriate attribution, subject to a 12-month embargo period agreed in the master service contract.
  • This Invoice reflects services rendered by an independent Academic Researcher operating as a sole proprietor (Einzelunternehmer) registered with the Finanzamt Frankfurt am Main. The VAT (Umsatzsteuer) of 19% has been applied in accordance with § 14 UStG. Should the client be a taxable entity (Umsatzsteuerpflichtiger), the VAT may be reclaimed as input tax (Vorsteuer).
  • The Academic Researcher confirms that all data processing conducted during this project complies with the General Data Protection Regulation (GDPR / DSGVO) and the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG). A Data Processing Agreement (Auftragsverarbeitungsvertrag) is available upon request.
  • Any disputes arising from this Invoice or the underlying service agreement shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany. The parties agree to attempt mediation before initiating formal legal proceedings.
  • This Invoice constitutes the final and complete statement of charges for the project period of 1 March 2025 through 31 May 2025. No additional fees or costs are owed beyond the amounts specified herein unless a written change order is executed by both parties.
