Late payments shall accrue interest at the rate of 1.5% per month (or the maximum rate permitted under Israeli law, whichever is lower) in accordance with the Israeli Late Payment Law, 5761-2001.
Terms, Conditions & Legal Notes1. Governing Law and Jurisdiction
This Invoice and all associated services are governed by the laws of the State of Israel. Any disputes arising from this Invoice shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel. The Academic Researcher operates as a self-employed individual registered with the Israel Tax Authority (Mis Yisrael) and is subject to all applicable Israeli tax obligations, including Value Added Tax (VAT) at the standard rate of 18%.
2. Intellectual Property
All research outputs, data sets, manuscripts, and analytical models produced by the Academic Researcher in Tel Aviv under this engagement shall be jointly owned by the Academic Researcher and the Client, as specified in Section 7 of the Research Collaboration Agreement. Neither party may publish or distribute the research findings without the prior written consent of the other party.
3. Confidentiality and Data Protection
The Academic Researcher shall comply with the Israeli Privacy Protection Law, 5741-1981, and all relevant regulations of the Israel Data Protection Authority. All participant data collected in Tel Aviv shall be stored on encrypted servers located within Israel and shall be destroyed no later than five (5) years after the conclusion of the study, unless otherwise required by the IRB.
4. Cancellation and Refund Policy
In the event that the Client cancels the engagement prior to completion of all deliverables, the Academic Researcher shall be entitled to compensation for all hours worked and expenses incurred up to the date of cancellation. A written notice of cancellation must be provided at least fourteen (14) days in advance.
5. Tax Compliance
This Invoice is issued in compliance with the requirements of the Israeli Value Added Tax Law, 5736-1975, and the regulations of the Israel Tax Authority. The Academic Researcher is registered as a VAT-liable entity in Tel Aviv, Israel, and is required to issue a VAT receipt (Kvitat VAT) upon request. The Client is advised to retain this Invoice for their own tax and accounting records.
6. Acceptance
By signing below or by making payment against this Invoice, the Client acknowledges receipt of the services rendered by the Academic Researcher in Tel Aviv, Israel, and confirms that all deliverables meet the specifications outlined in the Research Collaboration Agreement.
