Terms, Conditions & Payment Instructions
1. Payment Terms: The full amount stated on this Invoice is due within thirty (30) calendar days from the Invoice date of 15 June 2025. Payment shall be made via bank transfer to the IBAN account specified above. Please reference Invoice No. CH-ZRH-2025-0047 in your payment transfer to ensure proper accounting reconciliation.
2. Late Payment: In accordance with Article 104 of the Swiss Code of Obligations (OR), a late payment interest rate of 5% per annum shall apply to any outstanding balance after the due date. The Academic Researcher reserves the right to suspend ongoing research activities and withhold final deliverables until full payment is received.
3. Intellectual Property: All research outputs, data sets, models, and publications generated under this engagement remain the joint intellectual property of the Academic Researcher and the client institution, as stipulated in the original research contract dated 01 March 2025. The Academic Researcher retains the right to cite and reference the work in future academic publications in Switzerland Zurich and internationally.
4. Data Protection: All personal data processed in connection with this Invoice and the associated research project shall be handled in strict compliance with the Swiss Federal Act on Data Protection (nDSG) and applicable EU GDPR provisions where cross-border data transfer is involved.
5. Dispute Resolution: Any disputes arising from this Invoice or the underlying research engagement shall be resolved through the competent courts of the canton of Zurich, Switzerland. The parties agree to attempt mediation before initiating formal legal proceedings.
6. Validity: This Invoice is valid for a period of ninety (90) days from the date of issue. After this period, the Academic Researcher reserves the right to reissue the Invoice with updated terms if applicable Swiss tax regulations have changed.
