This Invoice is issued in accordance with the signed Actor Service Agreement dated 20 May 2025 between Stellar Performance Agency Ltd. (representing the Actor, Adaeze Nwosu) and Crescent Horizon Productions Ltd. All services were rendered in Nigeria Lagos as stipulated in the production schedule. Payment is due within fourteen (14) calendar days from the date of this Invoice. Late payments shall attract a penalty of 2% per month as per Nigerian commercial law.
Terms and Conditions
1. This Invoice constitutes a formal request for payment for Actor services rendered in Nigeria Lagos. All charges are denominated in Nigerian Naira (NGN) and are subject to applicable federal and Lagos State taxes.
2. The Actor's performance rights, likeness usage, and promotional material usage are governed by the separate Licensing Agreement (Ref: SPA/LIC/2025/0091) and are not included in this Invoice.
3. Any disputes arising from this Invoice shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).
4. The Actor and the representing agency shall not be liable for delays caused by force majeure events, including but not limited to power outages, flooding in Lagos, or government-mandated shutdowns.
5. This Invoice is valid for 90 days from the date of issue. After this period, the amounts may be subject to recalculation based on prevailing exchange rates and tax regulations in Nigeria.
6. All Actor services described herein were performed in full compliance with the Nigerian Film and Video Censors Board (NFVCB) guidelines and the Nigerian Actors Guild code of conduct.
