Terms and Conditions – Invoice INV-SEOUL-2025-04872
This Invoice governs the financial settlement for all Actor services rendered in South Korea Seoul as detailed above. The following terms apply to this Invoice and the associated Actor engagement:
- Payment Method: Payment shall be made via bank transfer to the account of Seoul Star Entertainment Agency Co., Ltd., Kookmin Bank, Seoul Central Branch, South Korea Seoul. Account No.: 912345-67-890123. Wire transfers from international accounts must include the Invoice number in the reference field.
- Due Date: The full net payable amount of KRW 153,118,000 is due no later than July 15, 2025. Late payments shall incur a penalty interest of 1.5% per month as stipulated under the Korean Commercial Act.
- Actor Rights & Residuals: This Invoice covers the initial performance fee only. Residual payments for broadcast, streaming, and international distribution of the film "Seoul Nights: Chapter III" shall be invoiced separately in accordance with the residual schedule (Schedule C) of the Actor Performance Agreement.
- Tax Compliance: All tax withholdings have been calculated in compliance with the National Tax Service of South Korea Seoul regulations. The Actor's personal income tax withholding has been deducted as mandated by the Korean Income Tax Act, Article 119.
- Dispute Resolution: Any disputes arising from this Invoice or the underlying Actor engagement shall be resolved through arbitration in South Korea Seoul under the rules of the Korean Commercial Arbitration Board (KCAB).
- Confidentiality: The financial terms contained in this Invoice are strictly confidential. Neither party shall disclose the compensation structure of the Actor to any third party without written consent, in accordance with Korean privacy and entertainment industry regulations.
- Validity: This Invoice is valid for 90 days from the date of issue. After this period, the Invoice may be reissued with updated tax calculations if applicable South Korea Seoul tax rates have changed.
