Terms and Conditions of This Invoice
This Invoice is issued in accordance with the commercial contract (Ref: CN-2025-0312) between Starlight Performers Agency, representing the Actor Jasur Karimov, and Tashkent National Theatre Group. All services described herein are to be performed within the city of Tashkent, Uzbekistan, unless otherwise specified in the master agreement.
- Payment Terms: Full payment of this Invoice is due within fifteen (15) calendar days from the date of issue. Payment shall be made via bank transfer to the account specified below. Late payments shall incur a penalty of 1.5% per month as per Uzbekistan commercial law.
- Actor Availability: The Actor guarantees availability for all scheduled performances, recordings, and events in Tashkent, Uzbekistan, as outlined in this Invoice. Cancellations by the client must be communicated no fewer than seventy-two (72) hours in advance to avoid full-fee liability.
- Tax Compliance: All amounts stated in this Invoice are subject to the applicable tax regulations of the Republic of Uzbekistan. The 12% VAT rate is applied in compliance with the Tax Code of Uzbekistan. The Actor and the Agency are registered taxpayers in Tashkent, Uzbekistan.
- Intellectual Property: All performances, recordings, and workshop materials delivered by the Actor under this Invoice remain the intellectual property of the Actor unless a separate licensing agreement is executed in writing. The client in Tashkent, Uzbekistan, receives a limited, non-transferable license for the specific production referenced.
- Dispute Resolution: Any disputes arising from this Invoice shall be resolved through negotiation in good faith. If unresolved, matters shall be submitted to the commercial court of Tashkent, Uzbekistan, in accordance with the Civil Procedure Code of the Republic of Uzbekistan.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Invoice due to events beyond reasonable control, including but not limited to government-mandated closures of performance venues in Tashkent, Uzbekistan, natural disasters, or public health emergencies.
