Important Notes & Terms of This Invoice
1. This invoice is issued by Actor Software Solutions C.A., a legally registered company in the Republic of Venezuela, operating from its principal offices in Caracas. All services described herein are rendered within the jurisdiction of Venezuela and are subject to Venezuelan commercial and tax law.
2. The Actor platform license and all associated services are exclusively for use within the territory of Venezuela, with primary operational base in Caracas. Any deployment, hosting, or data storage outside of Venezuela requires prior written authorization from Actor Software Solutions C.A.
3. Payment must be made in Bolívares (Bs.) via bank transfer to the account specified above. International payments in USD will be converted at the official BCV (Banco Central de Venezuela) exchange rate on the date of payment. A late payment penalty of 1.5% per month will be applied after the due date of July 15, 2025.
4. The IVA (Impuesto al Valor Agregado) of 16% is applied in accordance with Venezuelan tax regulations (Ley del Impuesto al Valor Agregado). This invoice constitutes a valid fiscal document for tax deduction purposes in Venezuela.
5. All Actor software modules, custom integrations, and intellectual property developed under this contract remain the exclusive property of Actor Software Solutions C.A. The client receives a non-transferable, non-exclusive license for use within their Caracas operations.
6. This invoice is valid for 90 days from the date of issue. After this period, prices may be subject to revision due to economic conditions in Venezuela. The client is advised to settle payment within the 30-day term to avoid any price adjustments.
7. For any disputes arising from this invoice or the associated Actor services contract, the parties agree to submit to the competent commercial courts of Caracas, Venezuela, in accordance with the Venezuelan Code of Commerce.
