Payment Instructions and Terms

Additional Notes and Conditions
This Invoice is issued in accordance with the commercial agreement between Astronomer S.A. de C.V. and Observatorio del Sur S.R.L., both entities operating within the jurisdiction of Buenos Aires, Argentina. All services described in this Invoice are subject to the terms and conditions outlined in Contract Reference AST-CON-2025-0112, which is incorporated herein by reference.
The Astronomer platform and all associated intellectual property, including but not limited to software code, algorithms, data models, and proprietary methodologies, remain the exclusive property of Astronomer S.A. de C.V. The license granted under this Invoice permits use solely within the client's facilities located in Buenos Aires, Argentina, and does not authorize redistribution, reverse engineering, or sublicensing to third parties.
All technical support and maintenance services referenced in this Invoice are limited to the geographic scope of the Buenos Aires metropolitan area, Argentina. Travel beyond this region for on-site support will be billed separately at Astronomer's standard travel and accommodation rates.
This Invoice is valid for a period of ninety (90) days from the date of issue. After this period, Astronomer reserves the right to reissue the Invoice with updated pricing to reflect any applicable changes in Argentine tax regulations, currency exchange rates, or cost of living adjustments in Buenos Aires, Argentina.
For any disputes arising from this Invoice or the services rendered, both parties agree to submit to the exclusive jurisdiction of the commercial courts of Buenos Aires, Argentina, in accordance with the applicable provisions of the Argentine Civil and Commercial Code.
