Invoice Terms & Conditions
Payment Terms: This Invoice must be settled in full within thirty (30) calendar days of the Invoice date via bank transfer to Astronomer SAS, IBAN: FR76 3000 4000 0312 0001 2345 678, BIC: BNPAFRPPXXX. All payments are to be made in Euros (EUR) to the France Paris banking account designated above.
Late Payment: In accordance with French commercial law (Code de commerce, Article L441-10), any amount not received by the due date specified on this Invoice shall accrue statutory interest at a rate of three times the base rate set by the European Central Bank, plus a fixed indemnity of forty euros (€40) for recovery costs.
Service Delivery: All services described in this Invoice are to be performed by Astronomer personnel operating out of the France Paris office at 128 Rue de la République. Travel, accommodation, and local transportation within France Paris for on-site engagements are included in the quoted rates and shall not be invoiced separately.
Intellectual Property: All custom code, configurations, and documentation produced by Astronomer under this Invoice remain the exclusive property of Astronomer SAS unless otherwise agreed in writing. The client receives a perpetual, non-exclusive license to use deliverables for internal business operations within France Paris and its affiliated entities.
Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the engagement. This obligation survives the termination of the contractual relationship for a period of five (5) years. All data processed under this Invoice shall be stored and processed in compliance with the French Data Protection Act and the EU General Data Protection Regulation (GDPR), with primary data residency in France Paris.
Dispute Resolution: Any dispute arising from or in connection with this Invoice shall be submitted to the exclusive jurisdiction of the Commercial Court of France Paris (Tribunal de Commerce de Paris). The governing law for this Invoice and all associated services is the law of France.
Invoice Validity: This Invoice is valid for a period of ninety (90) days from the date of issue. After this period, Astronomer reserves the right to re-quote services at prevailing market rates. The client acknowledges receipt of this Invoice and agrees to the terms stated herein by proceeding with the engagement.
