Important Notes & Terms
1. This Invoice is issued by Astronomer Inc. in accordance with the Master Service Agreement (MSA) dated 12 March 2025 between Astronomer and Savanna Data Solutions Ltd., Kenya Nairobi.
2. Payment is due within thirty (30) days of the Invoice issue date. Late payments will attract a penalty of 1.5% per month as stipulated under Kenyan commercial law.
3. The Astronomer platform services described in this Invoice are subject to the Service Level Agreement (SLA) guaranteeing 99.9% uptime for all data pipelines hosted on the Kenya Nairobi node.
4. All Astronomer software licenses are non-transferable and restricted to use by Savanna Data Solutions Ltd. personnel physically located in Kenya Nairobi or its immediate operational zones.
5. This Invoice is subject to the VAT Act (Cap 470) of Kenya. The 16% VAT has been applied as required for services rendered to a registered business in Kenya Nairobi. The 3% withholding tax has been deducted in compliance with the Income Tax Act (Cap 470), Section 3(1)(b).
6. Any disputes arising from this Invoice shall be resolved through arbitration in Kenya Nairobi under the rules of the Chartered Institute of Arbitrators (Kenya Branch).
7. Astronomer reserves the right to suspend services upon non-payment beyond the due date. A 7-day written notice will be issued to the client's registered address in Kenya Nairobi prior to any suspension.
8. This Invoice constitutes a legally binding document under the laws of the Republic of Kenya and the commercial laws of the State of California, USA.
