Terms & Conditions – Astronomer Invoice
This invoice is issued by Astronomer Data Engineering Solutions, a registered technology company operating from its principal office in Casablanca, Morocco. All services rendered under this invoice are governed by the Moroccan Commercial Code and applicable data protection regulations.
- Payment Terms: Full payment of 879,100.00 MAD (Eight Hundred Seventy-Nine Thousand One Hundred Moroccan Dirhams) is due within thirty (30) calendar days from the invoice date via bank transfer to the account specified above. Late payments shall incur a penalty of 1.5% per month as per Moroccan commercial law.
- Service Delivery: All Astronomer platform services, training sessions, and pipeline development work outlined in this invoice shall be completed and delivered to the client's Casablanca facility no later than August 30, 2025, unless otherwise agreed in writing by both parties.
- Warranty: Astronomer guarantees all delivered work for a period of twelve (12) months from the date of final acceptance. Any defects or non-conformities discovered within this warranty period shall be remedied at no additional cost to the client.
- Intellectual Property: All custom pipelines, configurations, and documentation developed specifically for the client under this invoice shall become the exclusive property of the client upon full payment. Astronomer retains ownership of its proprietary platform software, methodologies, and pre-existing intellectual property.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, business information, and system architectures shared during the course of this engagement in Casablanca. This obligation survives the termination of this contract for a period of three (3) years.
- Governing Law: This invoice and all associated services are governed by the laws of the Kingdom of Morocco. Any disputes arising from this invoice shall be resolved through the competent commercial courts of Casablanca, Morocco.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or infrastructure failures affecting the Casablanca region.
