Invoice Terms & Conditions – Astronomer Services, Nigeria Lagos
This Invoice is issued by Astronomer, Inc. to Lagos Data Solutions Ltd. for the provision of Astronomer data engineering platform services to be utilized at the client's operational headquarters in Nigeria Lagos. All services described in this Invoice are subject to the Master Service Agreement (MSA) dated 20 March 2025 between the parties.
- Payment: The total amount stated in this Invoice is due within thirty (30) calendar days from the Invoice date. Payment shall be made in Nigerian Naira (NGN) via bank transfer to the Astronomer designated account. The client is advised to confirm the current exchange rate with their financial institution prior to remittance.
- Taxation: All applicable Nigerian taxes, including Value Added Tax (VAT) at 7.5% as applicable in Lagos, and statutory Withholding Tax at 10% as mandated by the Federal Inland Revenue Service (FIRS) of Nigeria, have been calculated and reflected in this Invoice. The client is responsible for any additional local levies imposed by the Lagos State government.
- Service Delivery: Astronomer shall ensure that all platform services are fully operational and accessible from the Nigeria Lagos location within five (5) business days of receipt of full payment. Network connectivity considerations specific to the Lagos region have been factored into the infrastructure provisioning.
- Support & SLA: Astronomer's premium support team shall respond to all critical incidents affecting the Nigeria Lagos deployment within two (2) hours, with a target resolution time of eight (8) hours. Support is available 24/7, covering all time zones relevant to the Lagos operations.
- Compliance: All data processed through the Astronomer platform on behalf of the client in Nigeria Lagos shall be handled in strict accordance with the Nigeria Data Protection Regulation (NDPR) 2019 and the Nigeria Data Protection Act 2023. Astronomer guarantees that no client data will be stored on servers outside of approved jurisdictions without explicit written consent.
- Disputes: Any disputes arising from this Invoice or the associated services shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria). The governing law for this Invoice is the law of the Federal Republic of Nigeria.
- Renewal: This Invoice covers the initial twelve-month subscription period. Astronomer will issue a renewal Invoice no later than sixty (60) days prior to the expiration of the current term. The client may opt to modify, upgrade, or cancel their Astronomer subscription in writing at least thirty (30) days before the renewal date.
